User and Referrer Terms and Conditions

Scope Notice: These Terms and Conditions apply exclusively to individuals registering on the Platform as Users or Referrers. Businesses listing on Listi.ae are subject to separate Business Terms and Agreements. Listi may apply different or additional terms to Businesses at its sole discretion.

1. About Us

1.1 Listi Partners Portal ("Listi", "we", "us", or "our") is a sole establishment licensed and operating in Dubai, UAE under the Department of Economy and Tourism (DET), License No. 1523229, issued under the E-Trader Professional category.

1.1a The names "Listi" and "Listi.ae" and associated logos are used as unregistered trademarks of Listi Partners Portal. A trademark application has been filed in the United Arab Emirates and is currently under examination. All rights in these marks are reserved pending registration.

1.2 Our platform is accessible at listi.ae and is operated solely within the Emirate of Dubai. Our permitted activities include Portal and Internet Content Provider services.

2. Definitions

In these Terms, the following words have the meanings set out below:

  • "Platform" means the Listi website, web application, and any related digital service operated at listi.ae.
  • "User" means any individual who registers on the Platform to browse business listings and use Platform features.
  • "Referrer" means a User who actively refers potential customers to Businesses listed on the Platform.
  • "Business" means a company, trader, or service provider that has a listing on the Platform.
  • "InternChat" means the in-platform messaging feature that allows Users and Referrers to communicate with Businesses.
  • "Verified Badge" means a visual indicator on a User or Referrer profile confirming that identity has been verified.
  • "Dashboard" means the personal account area available to each registered User or Referrer.
  • "Free Plan" means the no-cost access tier available to all registered Users and Referrers.
  • "Premium Plan" means the paid subscription tier available to Users and Referrers at AED 99 per month.
  • "LinkedIn Verification" means the mandatory step at registration where a User or Referrer connects and verifies their LinkedIn profile.
  • "Content" means any text, messages, profile information, or other material submitted by a User or Referrer through the Platform.
  • "UAE PDPL" means Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.
  • "Force Majeure Event" means any event or circumstance beyond Listi's reasonable control, as further described in Section 18.7.

3. Eligibility

3.1 The Platform is strictly for individuals aged 18 years and above. You must be at least 18 years old to register. By creating an account, you confirm that you meet this age requirement.

3.2 Listi does not knowingly collect or process personal data from individuals under 18 years of age. If we discover or reasonably suspect that a minor has registered on the Platform, we reserve the right to immediately delete the account and all associated personal data without prior notice and without any liability to the account holder or any other person.

3.3 By creating an account, you confirm that all information you provide is accurate, complete, and current.

3.4 You must have the legal capacity to enter into a binding agreement under the laws of the UAE.

3.5 Listi reserves the right to refuse registration or terminate any account where eligibility requirements are not met.

4. Registration and Account Security

4.1 To access Platform features, you must register by providing your name, email address, and completing LinkedIn Verification as described in clause 4.2.

4.2 LinkedIn Verification is mandatory. During registration, you must connect your active LinkedIn profile to your Listi account. By connecting your LinkedIn profile, you give your explicit, informed, and unambiguous consent to Listi accessing, collecting, and processing your publicly available LinkedIn data (including your name, profile URL, headline, and profile photo) solely for the purposes of identity verification and fraud prevention. This step is required for full account activation. You understand that withdrawal of this consent after registration may result in immediate restriction or termination of your account, as identity verification is a continuing requirement for Platform access.

4.3 Listi does not process sensitive personal data (including health data, biometric data, racial or ethnic origin, religious beliefs, or criminal record data) unless strictly required by applicable law. Where such processing ever becomes necessary, Listi will implement appropriate safeguards and obtain explicit consent.

4.4 After submitting your registration details, you will receive a one-time password (OTP) by email to verify your email address. You must enter this OTP to complete account creation.

4.5 You are responsible for keeping your login credentials confidential. You must not share your password with any other person.

4.6 You must notify us immediately at hi@listi.ae if you suspect any unauthorised access to your account.

4.7 Listi is not liable for any loss or damage resulting from your failure to maintain the security of your account credentials.

4.8 You may not create more than one account per person. Duplicate accounts may be removed without notice.

4A. Email Communications

4A.1 By registering on the Platform, you agree to receive the following categories of email from Listi:

  • Transactional emails -- these include account creation confirmation, OTP verification codes, password reset requests, billing receipts, and subscription change confirmations. These emails are essential to your use of the Platform and cannot be opted out of while your account remains active.
  • Platform notifications -- these include alerts about InternChat messages, profile activity, and account-level updates directly relevant to your account.
  • Service announcements -- these include material changes to these Terms, the Privacy Policy, pricing, or the Platform itself. These are sent when required and cannot be opted out of while your account remains active.
  • Marketing and promotional emails -- these include product updates, new feature announcements, and general Listi communications. You may unsubscribe from this category at any time by clicking the unsubscribe link in any such email or by contacting hi@listi.ae.

4A.2 Unsubscribing from marketing emails does not affect your receipt of transactional, platform notification, or service announcement emails.

4A.3 All emails are sent from the domain listi.ae. If you do not receive an expected email, please check your spam or junk folder before contacting support.

4A.4 Listi will not send unsolicited commercial emails beyond the categories described above. We do not sell or rent your email address to third parties.

5. How the Platform Works

5.1 Listi is an online directory and networking platform. It connects Users and Referrers with Businesses operating in Dubai.

5.2 Users may browse Business listings, view profiles, and use InternChat to send messages directly to Businesses through the Platform.

5.3 Referrers may introduce potential customers to Businesses by directing them to Business listings or by facilitating introductions through the Platform. Referrers act independently and on their own initiative.

5.4 InternChat becomes available to a User or Referrer only after they have accepted these Terms and Conditions in full. Acceptance is recorded at the time of registration.

5.5 Listi does not provide referral tracking links, commission tracking, referral codes, or any automated tracking mechanism for introductions made by Referrers. Any arrangement between a Referrer and a Business regarding compensation, fees, or agreements is entirely separate from the Platform and is not administered, monitored, or enforced by Listi.

5.6 Listi does not guarantee that a Business will respond to any message sent through InternChat or that any introduction will result in a transaction.

5A. No Payment Handling

5A.1 Listi is a directory and introduction platform only. We do not process, receive, hold, transfer, or facilitate any payments between Users, Referrers, and Businesses.

5A.2 Any financial arrangement, including service charges or any other payment that a Referrer agrees with a Business, is made entirely outside the Platform and is solely the responsibility of the parties involved.

5A.3 Listi has no role in, and accepts no liability for, any financial dispute between a Referrer and a Business or between a User and a Business.

5A.4 Listi is not a payment service provider, financial institution, or regulated entity under the Central Bank of the UAE. Nothing on the Platform constitutes financial services or payment services.

5B. Risk Disclosure

5B.1 By using the Platform, you acknowledge and accept the following risks:

  • Listi does not verify the accuracy, completeness, or currency of any information provided by a Business in its listing. Business listings are created and maintained by the Businesses themselves.
  • Listi does not verify that any Business is licensed, regulated, or legally authorised to provide the services or products described in its listing.
  • Introductions made through the Platform may not result in any transaction, engagement, or outcome.
  • Any arrangement you enter into with a Business is at your own risk and at your sole discretion.
  • Listi does not provide legal, financial, investment, or professional advice through the Platform.

5B.2 You are solely responsible for conducting your own due diligence on any Business before entering into any arrangement with them.

5B.3 Referrers are strongly advised to confirm any arrangement with a Business in writing, whether by signed document or official email exchange, before making any introduction. Written confirmation helps avoid misunderstandings and provides a clear record in the event of a dispute between the Referrer and the Business.

5C. Regulated Sector Listings — Important Warning

5C.1 Regulated Sectors on the Platform. Businesses listed on the Platform may operate in sectors that are regulated under UAE federal and Dubai law, including but not limited to:

  • (a) financial services, forex, cryptocurrency, and insurance (regulated by the Securities and Commodities Authority, the Virtual Assets Regulatory Authority, the Central Bank of the UAE, and the DFSA);
  • (b) real estate (regulated by the Real Estate Regulatory Agency and the Dubai Land Department);
  • (c) healthcare and wellness (regulated by the Dubai Health Authority);
  • (d) legal services (regulated by the Dubai Legal Affairs Department);
  • (e) education, tutoring, and training (regulated by the Knowledge and Human Development Authority);
  • (f) beauty, aesthetic, salon, and spa services (regulated by Dubai Municipality, with aesthetic medical procedures additionally regulated by the Dubai Health Authority);
  • (g) food and beverage, catering, and food production (regulated by Dubai Municipality Food Safety Department);
  • (h) travel, tourism, and visa services (regulated by the Department of Economy and Tourism);
  • (i) automotive sales and rental (regulated by the RTA and DET);
  • (j) construction, contracting, engineering, and interior design (regulated by Dubai Municipality);
  • (k) accounting, audit, tax, and bookkeeping (regulated by the Ministry of Economy and the Federal Tax Authority);
  • (l) recruitment, manpower supply, and domestic worker services (regulated by MOHRE); and
  • (m) IT services, software development, marketing, and advertising (regulated by mainland DET, the relevant Dubai free zone authority, or the body issuing the applicable freelancer permit).

5C.2 Listi Does Not Verify Regulated Sector Credentials. You expressly acknowledge and accept that Listi is a directory platform only. Listi does not verify, and cannot verify, the authenticity, current validity, scope, or sufficiency of any licence, permit, registration, certificate, broker card, or other credential held or claimed by any Business listed in a regulated sector. Documents submitted to Listi by a Business are declaratory only and are not independently authenticated by Listi.

5C.3 Risks of Engaging with Regulated Sector Businesses. You expressly acknowledge and accept that:

  • (a) a Business listed in a regulated sector may in fact be unlicensed, under-licensed, or licensed only for activities different from those it advertises;
  • (b) licences that were valid at the time the Business registered may subsequently have been suspended, revoked, cancelled, or expired without Listi's knowledge;
  • (c) documents shown on or through the Platform may be forged, altered, or misrepresented;
  • (d) advice, recommendations, or services offered by a Business may breach the professional conduct rules, advertising restrictions, or fee-sharing rules of the applicable regulator;
  • (e) engaging with an unlicensed or non-compliant Business in a regulated sector may expose you (as a User or Referrer) to financial loss, contractual unenforceability, regulatory action, or criminal liability under UAE law.

5C.4 Your Duty to Verify Before Engaging. Before you engage with, contract with, pay, refer anyone to, or rely on any advice from a Business listed in a regulated sector, you are responsible for conducting your own independent verification of that Business's credentials, including (as applicable):

  • (a) verifying RERA licences and broker cards via the Dubai REST app or the DLD website;
  • (b) verifying DHA-licensed healthcare providers via the DHA Sheryan system;
  • (c) verifying KHDA-permitted training institutes via the KHDA website;
  • (d) verifying mainland DET trade licences via the DED Trader platform or invest.dubai.ae, and free zone licences or freelancer permits via the relevant issuing authority (DMCC, DIFC, DAFZA, JAFZA, GoFreelance / TECOM, in5, or similar);
  • (e) verifying VARA, SCA, DFSA, and Central Bank licences via each authority's official public register;
  • (f) verifying law firms and lawyers via the Dubai Legal Affairs Department; and
  • (g) engaging an independent legal, financial, medical, or professional adviser where the nature of the engagement warrants it.

No badge, status, category, or position on the Platform constitutes proof that any Business holds the licences or authorisations it claims.

5C.5 Referrer-Specific Warning. If you act as a Referrer in a regulated sector:

  • (a) you must not hold yourself out as verified, authorised, or endorsed by Listi;
  • (b) you must not represent to any person you refer that a Business's licences have been checked by Listi;
  • (c) you are responsible for ensuring that any Reward Offer you accept or pass on does not breach regulator-imposed restrictions on commission sharing, fee-splitting, or referral compensation (for example, restrictions imposed by DHA, DLAD, or professional audit bodies);
  • (d) you accept that arranging a referral in a regulated sector where the Business is unlicensed may itself constitute aiding an unlicensed activity under UAE law.

5C.6 No Reliance on Listi. You accept that you are not relying on Listi to assess, approve, or guarantee any Business's regulatory standing, and that Listi makes no representation, warranty, or undertaking of any kind, express or implied, as to the licensing, compliance, competence, or honesty of any Business listed in a regulated sector.

5C.7 Listi Not Liable. Listi accepts no liability for any loss, damage, injury, fine, regulatory sanction, criminal charge, or other consequence suffered by you or by any person you refer as a result of:

  • (a) a Business operating without a valid licence, permit, or registration;
  • (b) a Business operating outside the scope of its licence;
  • (c) a Business's breach of any professional conduct rule, advertising restriction, or commission regulation;
  • (d) the falsity, forgery, or expiry of any document, badge, or credential shown on the Platform; or
  • (e) any advice, product, or service provided by a Business in a regulated sector.

This exclusion applies in addition to, and not in derogation from, the general liability exclusions in these Terms.

5C.8 Reporting Concerns. If you believe a Business listed in a regulated sector is operating unlawfully, misrepresenting its credentials, or breaching regulator rules, you may report the matter to Listi at hi@listi.ae. Listi will handle complaints under Section 6E of the Listi Business Terms, but Listi's handling of a complaint does not constitute verification of any Business and does not create any duty of care to you in respect of that Business's regulatory standing.

5C.9 Acknowledgement. By continuing to use the Platform, you confirm that you have read, understood, and accepted this Section 5C, and that you understand engagement with Businesses in regulated sectors on the Platform is undertaken at your own risk and under your own independent due diligence.

6. Referrer Obligations

6.1 If you use the Platform as a Referrer, you must act honestly and in good faith at all times.

6.2 You must not misrepresent the services, products, pricing, or terms of any Business to any person you refer.

6.3 You must not make any representation on behalf of a Business unless you have been explicitly authorised in writing by that Business to do so.

6.4 You must not use the Platform to solicit, collect, or process any payment from a referred customer on behalf of a Business.

6.5 You are not an employee, agent, partner, or representative of Listi. You act as an independent individual. Nothing in these Terms creates any employment relationship, agency, partnership, or joint venture between you and Listi.

6.6 You are responsible for complying with all applicable UAE laws in connection with any referral activity you undertake, including but not limited to consumer protection laws, commercial agency laws, and any applicable licensing requirements.

6.7 If any regulatory body, authority, or third party raises a complaint or inquiry arising from your referral activity, Listi is not obligated to assist you and may share information about your activity as required by law.

6.8 Consent-Based Contact Only. You must only contact or refer individuals who have given you their prior, explicit, and voluntary consent to be contacted. You are strictly prohibited from cold-calling, mass-messaging, bulk-emailing, or sending any unsolicited communications to individuals in connection with your referral activities on this Platform.

6.9 No Unauthorised Use of Platform Data. You may not share, export, copy, reproduce, or use any Business contact details, listing content, user data, or any other information obtained through the Platform for any purpose outside your permitted referral activity on the Platform. Any external commercial use of Platform data without Listi's prior written authorisation is strictly prohibited.

6.10 Any breach of clauses 6.8 or 6.9 may result in immediate account suspension or permanent ban without notice and without refund.

6A. Indemnity (Your Responsibility to Protect Listi)

6A.1 You agree to indemnify, defend, and hold harmless Listi Partners Portal, its owner, employees, agents, and affiliates from and against any and all claims, complaints, lawsuits, losses, damages, liabilities, costs, legal fees, court expenses, and settlements arising out of or in connection with:

  • your use of the Platform or any referral activity you undertake;
  • any lead, introduction, message, or contact information you provide or share through or in connection with the Platform;
  • any harm, loss, or damage suffered by a referred customer, any member of the public, a Business listed on the Platform, another User or Referrer, or any third party, arising as a result of your actions or omissions;
  • any breach of these Terms, including but not limited to providing false or stolen data, making misrepresentations, or violating data protection, consumer protection, cybercrime, or any other applicable UAE law; or
  • any infringement by you of any third-party rights, including privacy rights and intellectual property rights.

6A.2 Where a claim, complaint, or legal proceeding is brought against Listi arising from your actions or omissions as a User or Referrer, you shall be responsible for covering Listi's costs and shall cooperate fully in the defense of such proceedings.

6A.3 You must pay for all related losses, damages, legal fees, court costs, settlements, and expenses that Listi suffers as a result of your actions.

6A.4 You agree to fully cooperate with Listi in defending any such claim, including by providing information, documentation, and other reasonable assistance as requested by Listi or its legal representatives.

6A.5 Listi reserves the right, at its own expense, to assume exclusive control of the defense of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate with Listi's defense of that matter.

6A.6 This indemnity obligation is independent of any other liability provision in these Terms and survives the termination, expiry, or closure of your account and these Terms.

7. Plans and Pricing

7.1 The Platform offers two access tiers for Users and Referrers:

7.2 Plan features are subject to change. Listi will provide at least 14 days' written notice to Premium subscribers before any material change to plan features takes effect.

7.3 All prices are stated in UAE Dirhams (AED) and are inclusive of any applicable VAT where required under Federal Decree-Law No. 8 of 2017.

8. Billing

8.1 Premium Plan subscriptions are billed on a monthly recurring basis from the date of first purchase.

8.2 Payment is processed via our third-party payment provider. By subscribing to the Premium Plan, you authorise recurring monthly charges to your nominated payment method.

8.3 Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.

8.4 You may cancel your Premium subscription at any time through your Dashboard. Cancellation takes effect at the end of the current billing period.

8.5 No Refunds. All subscription fees are non-refundable. There is no cooling-off period and no right to a partial refund for any unused portion of a billing period. This applies equally to cancellations, account suspensions, account closures, and any promotional, discounted, or reduced-rate subscriptions. No refunds will be issued for promotional credits or discounts applied to your account.

8.6 If a payment fails, Listi may suspend access to Premium features until the outstanding amount is settled. Listi will attempt to notify you by email before suspension.

8.7 Any price change to the Premium Plan will be notified to you by email at least 14 days in advance. Your continued use of the Premium Plan after the effective date of a price change constitutes your acceptance of the new price.

8.8 Listi does not store your full card details. Payment processing and card data storage are handled by our third-party payment provider in accordance with their own terms and security standards.

9. Dashboard

9.1 Your Dashboard is your personal account area on the Platform. It displays your profile information, activity summary, plan status, and available features.

9.2 Free Plan users have access to a basic Dashboard showing standard account information.

9.3 Premium Plan users have access to a full Dashboard including extended analytics and activity data.

9.4 Dashboard data is indicative only and is provided for your convenience. Listi does not guarantee the accuracy or completeness of Dashboard analytics.

10. Acceptable Use

10.1 You must use the Platform only for lawful purposes and in a manner consistent with these Terms.

10.2 You must not:

  • post, transmit, or share any Content that is false, misleading, defamatory, discriminatory, offensive, or unlawful;
  • impersonate any person or entity or falsely represent your affiliation with any person or entity;
  • use the Platform to collect, harvest, or compile personal data about other Users, Referrers, or Businesses without their explicit consent;
  • use automated tools, bots, scrapers, or scripts to access, extract, or copy data from the Platform;
  • attempt to gain unauthorised access to any part of the Platform, its servers, or any connected systems;
  • upload or transmit any malicious code, virus, or harmful software;
  • use the Platform in any way that violates Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes or any other applicable UAE law;
  • use the Platform to harass, threaten, or harm any other person;
  • use the Platform for any commercial purpose other than the referral activities described in these Terms;
  • send or facilitate unsolicited bulk messages, spam, or cold outreach using contact information obtained through the Platform; or
  • share, sell, license, or otherwise distribute any contact details, listing content, or data obtained from the Platform to any third party outside the Platform without Listi's prior written authorisation.

10.3 Listi reserves the right to remove any Content that violates this clause without notice. Violations of this clause may result in immediate suspension or permanent ban without refund.

11. Intellectual Property

11.1 All intellectual property rights in the Platform, including its design, software, text, graphics, logos, and features, are owned by or licensed to Listi Partners Portal.

11.2 Nothing in these Terms grants you any right, title, or interest in the Platform's intellectual property.

11.3 You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Platform without prior written consent from Listi.

11.4 Licence from You to Listi. By uploading, posting, or submitting any Content on the Platform (including profile information, descriptions, InternChat messages, or any other material), you grant Listi a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, display, modify, adapt, publish, translate, distribute, and create derivative works from such Content for the purposes of operating, improving, promoting, and marketing the Platform, as well as for legal compliance and internal purposes.

11.5 You confirm that:

  • you own, or have all necessary rights and permissions to grant, the licence described in clause 11.4;
  • your Content does not infringe the intellectual property, privacy, or other legal rights of any third party; and
  • you will not use, reproduce, or display any Business name, logo, trademark, or other proprietary material obtained through the Platform without the prior explicit written permission of that Business.

11.6 Listi retains all rights in its own intellectual property. No rights are transferred to you by implication, estoppel, or otherwise.

12. Suspension and Termination

12.1 Listi may suspend or terminate your account at any time, with or without notice, if:

  • you breach any provision of these Terms;
  • we reasonably suspect fraudulent, misleading, or unlawful activity associated with your account;
  • a complaint is made against you that we consider credible and serious;
  • we are required to do so by law or by order of a competent authority; or
  • we decide to discontinue the Platform or a part of it.

12.2 You may close your account at any time from your Profile page in your dashboard (Data & Privacy → Delete Account) or by contacting us at hi@listi.ae. Closure takes effect within a reasonable administrative period.

12.2a Cancel Paid Subscriptions Before Deleting. If you have an active paid subscription (for example, Premium Plan), you must cancel the subscription from your billing page before deleting your account. Deleting your Listi account does not automatically cancel your Stripe subscription, and you may continue to be charged until the subscription itself is cancelled. Listi is not liable for Stripe charges that arise from an account being deleted before the underlying subscription was cancelled. The delete-account flow in your dashboard will remind you of this obligation; any refund request for such charges is subject to our Refund Policy.

12.3 On termination, your access to the Platform and all associated features will cease. Clauses that by their nature survive termination (including clauses 6A, 13, and 17) will continue to apply.

12.4 Dormant and Inactive Accounts. Listi may, at its sole discretion, suspend or permanently close any account that remains inactive (meaning no login or recorded activity) for a continuous period of 12 months or more. Where practicable, Listi will attempt to provide reasonable advance notice by email before closing a dormant account. Upon closure, personal data will be handled in accordance with our Privacy Policy and applicable retention periods.

13. Limitation of Liability

13.1 To the maximum extent permitted by applicable UAE law, Listi is not liable for:

  • any indirect, special, incidental, or consequential loss or damage arising from your use of the Platform;
  • any loss of profit, revenue, business opportunity, or goodwill;
  • any loss arising from your reliance on information provided by a Business on the Platform;
  • any failure, delay, or interruption in Platform availability;
  • any loss arising from an introduction arrangement that does not proceed or does not result in any agreed outcome;
  • any unauthorised access to your account arising from your failure to maintain account security; or
  • any dispute between you and a Business.

13.2 Listi's total aggregate liability to you under or in connection with these Terms shall not exceed the total amount paid by you to Listi in the 12 months preceding the event giving rise to the claim, or AED 500, whichever is lower.

13.3 Nothing in these Terms limits or excludes liability that cannot be excluded under UAE consumer protection law or other mandatory applicable law.

13.4 Listi is not liable for any losses arising from a third-party data breach, cyberattack, or security incident affecting Listi's infrastructure providers (including but not limited to Supabase, Vercel, Stripe, AWS, or Cloudflare), except to the extent caused by Listi's gross negligence or wilful misconduct.

14. Consumer Protection

14.1 These Terms are governed in part by Federal Law No. 15 of 2020 on Consumer Protection and its implementing regulations.

14.2 Nothing in these Terms is intended to remove or limit any right that you hold as a consumer under UAE law that cannot lawfully be excluded.

14.3 If you believe your consumer rights have been breached, you may contact the UAE Ministry of Economy or the relevant consumer protection authority in Dubai in addition to contacting us directly at hi@listi.ae.

15. Electronic Transactions

15.1 These Terms constitute a valid and binding electronic agreement under Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services.

15.2 By ticking the acceptance box or completing registration on the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. Electronic acceptance has the same legal effect as a signed written agreement.

15.3 Listi may send notices, updates, and communications to you by email at the address registered to your account. Such communications are deemed received on the day they are sent, provided no delivery failure notification is received.

16. Changes to These Terms

16.1 Listi reserves the right to update or amend these Terms at any time.

16.2 Where a change is material, Listi will notify you by email at least 14 days before the change takes effect.

16.3 Your continued use of the Platform after the effective date of any update constitutes your acceptance of the revised Terms.

16.4 If you do not accept the revised Terms, you must stop using the Platform and may close your account by contacting hi@listi.ae.

17. Governing Law and Disputes

17.1 These Terms are governed by and construed in accordance with the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai. The onshore courts of the Emirate of Dubai shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Platform. The parties expressly exclude the jurisdiction of the Dubai International Financial Centre (DIFC) Courts, the Abu Dhabi Global Market (ADGM) Courts, and the courts of any other emirate or foreign jurisdiction.

17.2 Any dispute arising out of or in connection with these Terms shall first be referred to good faith negotiation between you and Listi. If the dispute is not resolved within 30 days of written notice, either party may refer the matter to the competent courts of Dubai.

17.3 Nothing in this clause prevents Listi from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.

17.4 Individual Disputes Only -- No Class Actions. To the fullest extent permitted by applicable law, you waive any right to bring or participate in a class action, collective action, representative proceeding, or group litigation against Listi. All disputes shall be raised and resolved on an individual basis only. This waiver applies regardless of the form, forum, or applicable law governing the dispute.

17A. LinkedIn Profile Sharing (Optional)

17A.1 Optional feature. Listi offers you the option to submit your public LinkedIn profile URL so it can be displayed to verified businesses on the Platform. Use of this feature is entirely optional. You may use the Platform without ever submitting a LinkedIn URL.

17A.2 What you are agreeing to. By submitting your LinkedIn URL and ticking the acceptance box, you confirm that:

  • the URL you have submitted is your own public LinkedIn profile;
  • you consent to Listi reviewing the URL to verify it appears to be a genuine LinkedIn profile;
  • you consent to Listi displaying a "LinkedIn Verified" badge and clickable link to your LinkedIn profile on your public listings and, where relevant, alongside your referrals, to verified businesses and, where your listings are public, to other Platform visitors;
  • you understand that LinkedIn profiles are public pages hosted and controlled by LinkedIn, and that anyone with the link will be able to view the public information you have chosen to publish on LinkedIn.

17A.3 Review and approval. Your submitted URL will be reviewed by Listi and marked as pending, approved, or rejected. A URL is only shown publicly once: (a) it is approved by Listi; (b) you have ticked the LinkedIn sharing consent box; and (c) you have enabled the visibility toggle in your dashboard. If any of these conditions is not met, the URL will not be displayed.

17A.4 Edits reset status. If you change your LinkedIn URL after approval, the new URL will be set back to pending and will not be displayed publicly until it is re-approved by Listi.

17A.5 You can remove it at any time. You may turn off the visibility toggle, remove your LinkedIn URL, or withdraw your consent at any time from your dashboard. Once removed or toggled off, the badge and link will stop being shown on new pages. Cached copies already served to browsers or search engines may persist for a short period and are outside Listi's control.

17A.6 Data shown. Listi itself does not import, copy, or store content from your LinkedIn profile (such as your job history, photo, or posts). Listi only stores the URL you submitted, the timestamp of your consent, the review status, and your visibility preference. When a business clicks the badge, they are taken to LinkedIn, where LinkedIn's own terms and privacy policy apply.

17A.7 No endorsement. Approval by Listi means the URL appears to point to a genuine LinkedIn profile. It is not an endorsement, verification of employment, background check, or guarantee of the accuracy of the content on the LinkedIn profile.

17A.8 Rejection. Listi may reject a URL if it does not appear to be a valid LinkedIn profile, does not match the account holder, or otherwise breaches these Terms. Listi may also remove a previously approved URL if it later becomes invalid or unsafe to display, and will notify you in your dashboard.

18. General

18.1 Entire Agreement. These Terms, together with our Privacy Policy and Data Statement, constitute the entire agreement between you and Listi in relation to your use of the Platform.

18.2 Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

18.3 Waiver. A failure or delay by Listi to exercise any right under these Terms does not constitute a waiver of that right.

18.4 No Assignment. You may not assign your rights or obligations under these Terms to any other person without Listi's prior written consent.

18.5 Language. These Terms are currently available in English only. An official Arabic version will be made available in due course. Once published, the Arabic version will prevail for all matters governed by UAE consumer protection law, UAE data protection law (Federal Decree-Law No. 45 of 2021), or any other mandatory applicable UAE law. For all other purposes, the English version shall govern.

18.7 Force Majeure. Listi shall not be liable for any delay, failure, or interruption in performing its obligations under these Terms if such delay, failure, or interruption is caused by a Force Majeure Event, meaning any event beyond Listi's reasonable control, including but not limited to: internet outages or infrastructure failures, cyberattacks or security breaches by third parties, government orders or regulatory actions, natural disasters, pandemics or public health emergencies, war, civil unrest, terrorism, strikes, or supply chain disruptions. Where a Force Majeure Event occurs, Listi will make reasonable efforts to restore normal service and will notify users where practicable.

18.8 Third-Party Infrastructure Incidents. Without limiting clause 13.4 or clause 18.7, Listi shall not be liable for any losses arising from service interruptions, data breaches, or security incidents affecting Listi's third-party infrastructure providers (including but not limited to Supabase, Vercel, Stripe, Amazon Web Services, and Cloudflare), except to the extent such losses are directly caused by Listi's gross negligence or wilful misconduct.

18A. Technology Infrastructure and Third-Party Processors

18A.1 The Platform is built and operated using the following third-party infrastructure providers. By using the Platform, you acknowledge and consent to your personal data being processed by these providers as necessary for the Platform to function:

  • Supabase (Supabase Pte. Ltd., Singapore) -- Database, authentication, and backend infrastructure. Your account data, profile information, and Platform activity are stored on Supabase's servers, currently hosted in Mumbai, India for Listi's project. A Data Processing Agreement (DPA) is in place between Listi and Supabase. As part of its own service delivery, Supabase uses authorised sub-processors including Amazon Web Services (hosting), Cloudflare (hosting), and OpenAI LLC (natural language processing features within Supabase's infrastructure). A full list of Supabase's sub-processors is available at supabase.com.
  • Vercel, Inc. (United States) -- Platform deployment and hosting. The Listi website and web application are deployed and served through Vercel's infrastructure.
  • Stripe, Inc. (United States) -- Payment processing for Premium Plan subscriptions. Stripe processes card payments on Listi's behalf. Listi does not store your full card details. Stripe is PCI-DSS compliant.

18A.2 Each of the above providers is bound by contractual data protection obligations. Their processing of your personal data is limited to what is necessary to deliver the Platform services.

18A.3 Note on OpenAI: Supabase, as disclosed in its published sub-processor list, uses OpenAI LLC for certain natural language processing features within its own infrastructure. This is an upstream sub-processor relationship between Supabase and OpenAI. Listi does not independently share your personal data with OpenAI and does not use OpenAI's API in connection with your personal data.

18A.4 If Listi's core infrastructure providers change materially, this section will be updated and you will be notified in accordance with clause 16.2.

18A.5 Data Controller. For the purposes of the UAE PDPL (Federal Decree-Law No. 45 of 2021), Listi acts as the data controller for Personal Data collected through the Platform in connection with account registration, identity verification, Platform features, and security. A Business that receives your Personal Data through InternChat or a referral submission acts as a separate or joint controller from the point of receipt and is independently responsible for its own compliance with the UAE PDPL in relation to that data.

18A.6 Breach Notification Timeline. In the event of a material security incident affecting your Personal Data, Listi will notify affected account holders within 72 hours of confirming the incident, or as otherwise required by the UAE PDPL, whichever is sooner. Where the full facts are not yet known, Listi will issue an initial notice and follow up with further information as it becomes available.
