Risk Disclaimer

This Risk Disclaimer explains the nature of the platform operated at listi.ae (the "Platform") by Listi Partners Portal("Listi", "we", "us", or "our") — a sole establishment licensed in Dubai under Department of Economy and Tourism (DET) Licence No. 1523229 (E-Trader Professional category) — and the risks and responsibilities that Users, Referrers, and Businesses accept when using it. Read it carefully. By using the Platform, you confirm that you have read, understood, and accepted the risks set out below.

This Risk Disclaimer should be read together with our User Terms, Business Terms, Privacy Policy, Refund Policy, and Content Policy.

The names "Listi" and "Listi.ae" and associated logos are trademarks of Listi Partners Portal. Trademark registration is currently in process in the UAE (Trademark pending). All rights in these marks are reserved pending registration.

1. What Listi Is — and What Listi Is Not

• Listi is an introduction platform. We operate an online portal that enables Businesses to publish listings and Users and Referrers to discover those Businesses and introduce potential customers to them.
• Listi is not a party to any transaction between a Business, a Referrer, a User, or a referred person. We do not provide the advertised goods or services, we do not act as broker, agent, employer, sponsor, escrow, or guarantor, and we do not take part in any underlying contractual relationship between the parties.
• Listi does not process reward payments.Rewards, commissions, finder's fees, or any other consideration payable between a Business and a Referrer (or between any two Platform users) are paid directly between those parties. Listi does not collect, hold, process, disburse, guarantee, or insure such payments.
• Listi's only direct charges are the fees we charge for our own subscription and listing services (for example, Business Flexi at AED 249/month, Business Growth at AED 999/month, and Referrer Plus at AED 99/month), which are processed by Stripe, Inc. and governed by our Refund Policy.

1A. Cancelling a Paid Plan Before Deleting Your Account

If you have a paid subscription with Listi (for example, Business Flexi, Business Growth, or Premium Plan), you must cancel the subscription first before deleting your Listi account. Deleting your account does not automatically cancel the Stripe subscription, and you may continue to be charged by Stripe until you cancel it through your billing dashboard. Listi is not responsible for charges that arise because an account was deleted without the underlying subscription being cancelled. Refund requests for such charges are governed by our Refund Policy.

2. You Accept Commercial Risk

All commercial decisions you take through the Platform are taken at your own risk. By using the Platform, you accept that:

• You are solely responsible for deciding whether to engage with a Business, Referrer, User, or referred person;
• You will carry out your own due diligence before agreeing to anything — including verifying the identity, trade licence, regulatory status, reviews, and suitability of the other party;
• Any contract, arrangement, or dispute between you and another Platform user is strictly between you and that user;
• Listi does not guarantee business outcomes, referral conversions, response times, revenue, or any particular level of platform performance.

3. No Guarantee of Rewards or Client Quality

• What "Reward" means.In this Risk Disclaimer, "Reward" means any form of incentive, benefit, or consideration offered by a Business to a Referrer in connection with a referral — including, without limitation, cash rewards, commissions, finder's fees, performance bonuses, gifts, physical or digital goods, coupons, vouchers, discount codes, credits, store credit, free services, loyalty points, experiences, hospitality, or any other type of reward of any description. All clauses in this Section 3 apply equally to every type of Reward.
• Reward amounts and types shown on a listing are set and published by the Business, not by Listi. We do not verify, guarantee, or underwrite any Reward, regardless of whether it is cash, a gift, a coupon, a commission, or any other form. A Reward is only payable (or deliverable) on the terms the Business sets and only to the extent the Business honours those terms.
• Reward payment or delivery is a matter strictly between the Business and the Referrer. If a Business fails to pay a promised cash reward or commission, fails to deliver a promised gift, coupon, voucher, or any other form of Reward, or delivers a Reward that differs from what was advertised, Listi is not liable for that failure. Listi will, in reasonable cases, investigate and may suspend or remove a Business from the Platform, but Listi does not indemnify any party for a missed, partial, late, or unsatisfactory Reward of any type.
• Client and lead quality cannot be guaranteed. Listi does not vet the personal intentions, purchasing power, or conversion readiness of any referred person, nor the quality, fitness-for-purpose, or outcomes of any service delivered by a Business.
• Referrer identity and conduct cannot be guaranteed either. While Listi applies LinkedIn Verification and other checks, these are not a substitute for the due diligence you carry out on your own counterparty.

4. Businesses — Your Legal and Regulatory Obligations

Businesses listing on the Platform are responsible for their own compliance, including:

• Holding a valid and current Dubai trade licence — a mainland DET licence, a Dubai free zone licence (DMCC, DIFC, Dubai Internet City, Dubai Media City, DAFZA, JAFZA, or similar), or a freelancer permit from a Dubai-recognised authority (GoFreelance/TECOM, in5, or equivalent) — for every activity advertised on the Platform;
• Complying with sector-specific rules — for example, rules issued by the UAE Central Bank, the Securities and Commodities Authority (SCA), the Ministry of Health and Prevention, the Dubai Health Authority, the Real Estate Regulatory Agency (RERA), the Ministry of Human Resources and Emiratisation (MOHRE), or any other competent authority that regulates your sector;
• Meeting your obligations under UAE Federal Decree-Law No. 20 of 2018 on Anti-Money Laundering (AML) and Combating the Financing of Terrorism and its implementing regulations, including customer due diligence, reporting of suspicious transactions to the UAE Financial Intelligence Unit (goAML), and record-keeping;
• Complying with UAE VAT and Corporate Tax obligations under the Federal Tax Authority (FTA), including issuance of tax invoices where required, accurate VAT treatment of rewards and fees, and timely tax filings;
• Observing consumer-protection obligations under Federal Law No. 15 of 2020, including honest advertising, clear pricing, and honouring advertised terms;
• Observing data-protection obligations under Federal Decree-Law No. 45 of 2021 (UAE PDPL) in respect of any personal data about Users, Referrers, or referred persons that you receive through the Platform;
• Maintaining adequate commercial, professional indemnity, and (where relevant) product-liability insurance for your activity.

5. Referrers and Users — Your Legal and Tax Responsibilities

• Consent to share a third party's details. If you submit the name, contact details, or other personal data of another individual as part of a referral, you confirm that you have that person's prior consent. You are responsible for the lawfulness of that disclosure under the UAE PDPL.
• Rewards are your income.Any reward, commission, or finder's fee you receive from a Business is income payable to you by that Business. You are responsible for declaring and paying any taxes (including, where applicable, VAT and corporate tax under FTA rules) on amounts you receive, and for maintaining your own records.
• Regulated activities. Certain referral activities — for example, introductions of investors, mortgage applicants, patients, insurance customers, or real-estate clients — may be regulated in the UAE. You are responsible for holding any licence or authorisation required for the referral activity you carry out.
• AML awareness. You must not use the Platform to facilitate money laundering, the financing of terrorism, sanctions evasion, or any other financial crime. Suspicious activity should be reported internally to Listi at hi@listi.ae and, where required, to the UAE Financial Intelligence Unit through the goAML system.

6. No Financial, Legal, Tax, or Professional Advice

Content published on the Platform — including Business listings, category descriptions, blog posts, glossary entries, and promotional material — is provided for general information only. It does not constitute financial, investment, legal, accounting, tax, medical, immigration, or any other form of professional advice. You should obtain independent advice from a qualified UAE- licensed professional before making any significant decision based on information on the Platform.

7. No Warranty of Availability or Uninterrupted Use

The Platform is provided on an "as available" basis. Although we take reasonable steps to keep the Platform operational, we do not warrant that the Platform will be uninterrupted, error-free, or secure at all times, that defects will be corrected, or that the Platform is free from viruses or other harmful components. We may suspend access for maintenance, security, or legal reasons without prior notice.

8. Third-Party Infrastructure and Services

The Platform depends on third-party infrastructure and services, including Supabase (database and authentication), Vercel (hosting), Stripe (payments), and email-delivery providers. Disruptions to those providers may affect the availability of the Platform. Listi is not liable for losses arising from the failure of a third-party provider except to the extent required by applicable UAE law.

Listi is not liable for any losses arising from a third-party data breach, cyberattack, or security incident affecting Listi's infrastructure providers (including but not limited to Supabase, Vercel, Stripe, AWS, or Cloudflare), except to the extent caused by Listi's gross negligence or wilful misconduct.

9. Fraud, Scams, and Account Security

• Listi is not responsible for losses arising from fraud or dishonesty committed by another Platform user, including a Referrer who submits false information, a Business that fails to pay a reward, or a User who misrepresents themselves;
• You are responsible for the security of your own account, including your password, verification devices, and any session tokens. Never share login credentials with any third party;
• Report suspected fraud or account compromise immediately to hi@listi.ae (and to your local authorities where appropriate).

10. Limitation of Liability

To the maximum extent permitted by applicable UAE law, and without limiting the Limitation of Liability clauses in our User and Business Terms, Listi is not liable for:

• The non-payment, partial payment, delayed payment, or non-delivery of any Reward of any type — including cash rewards, commissions, finder's fees, gifts, coupons, vouchers, discount codes, store credit, free services, loyalty points, or any other form of incentive or consideration — by a Business to a Referrer;
• The quality, suitability, legality, or outcome of any goods or services supplied by a Business;
• The identity, intentions, creditworthiness, or conduct of any User, Referrer, Business, or referred person;
• Any loss arising from your reliance on information published by a Business, Referrer, or other third party on the Platform;
• Indirect, special, incidental, or consequential loss, including loss of profit, revenue, goodwill, or business opportunity;
• Any event beyond our reasonable control (see the Force Majeure clause in our Terms).

Nothing in this Disclaimer limits or excludes any liability that cannot be lawfully limited or excluded under UAE law, including rights you hold as a consumer under Federal Law No. 15 of 2020.

11. Your Acknowledgement

By registering for and using the Platform, you acknowledge that:

• You have read and understood this Risk Disclaimer;
• You understand that Listi is an introduction portal and is not a party to any transaction between Platform users;
• You understand that rewards and client quality are not guaranteed by Listi;
• You are solely responsible for your own legal, tax, AML, regulatory, and contractual obligations arising from your use of the Platform;
• You accept the commercial and legal risks of participating on the Platform.

12. Changes to This Disclaimer

We may update this Risk Disclaimer from time to time to reflect changes in our services, applicable law, or risk environment. Material changes will be posted on this page with an updated "Last Updated" date and, where appropriate, communicated to affected users in advance.
