Business Terms and Conditions

Scope Notice: These Terms and Conditions apply exclusively to Businesses and Freelancers registering to list on the Platform. Users and Referrers are subject to separate User and Referrer Terms and Conditions. Listi may apply different or additional terms to Users and Referrers at its sole discretion.

1. About Us

1.1 Listi Partners Portal ("Listi", "we", "us", or "our") is a sole establishment licensed and operating in Dubai, UAE under the Department of Economy and Tourism (DET), License No. 1523229, issued under the E-Trader Professional category.

1.1a The names "Listi" and "Listi.ae" and associated logos are used as unregistered trademarks of Listi Partners Portal. A trademark application has been filed in the United Arab Emirates and is currently under examination. All rights in these marks are reserved pending registration.

1.2 Our platform is accessible at listi.ae and is operated solely within the Emirate of Dubai. Our permitted activities include Portal and Internet Content Provider services.

2. Definitions

In these Terms, the following words have the meanings set out below:

  • "Platform" means the Listi website, web application, and any related digital service operated at listi.ae.
  • "Business" means any company, sole establishment, or corporate entity that registers on the Platform to create and maintain a Business Listing.
  • "Freelancer" means an individual operating independently under a valid UAE freelancer permit or equivalent authorisation who registers on the Platform to create and maintain a Listing.
  • "Business Listing" means the profile page and all associated content published by a Business or Freelancer on the Platform, including business description, contact details, media, Blog Posts, and Reward Offer.
  • "Blog Post" means a structured content article published by a Business or Freelancer on their Listing page, subject to admin approval before publication.
  • "Reward Offer" means the description of what a Business or Freelancer commits to provide to a Referrer upon a successful confirmed introduction, as posted in the Listing.
  • "User" means any individual registered on the Platform as a user or referrer.
  • "Referrer" means a registered User who actively introduces potential customers to Businesses listed on the Platform.
  • "InternChat" means the in-platform messaging feature that allows registered Users and Referrers to contact Businesses directly.
  • "Verified Badge" means a visual indicator on a Listing confirming that Listi has reviewed the Business's or Freelancer's registration documentation.
  • "Dashboard" means the account area on the Platform where Listing content, analytics, subscription management, and account settings are managed.
  • "Free Plan" means the no-cost Business listing tier.
  • "Flexi Plan" means the entry paid Business listing tier priced at AED 249 per month (or such other price as published on the pricing page at listi.ae/for-business#pricing from time to time).
  • "Growth Plan" means the top paid Business listing tier priced at AED 999 per month (or such other price as published on the pricing page at listi.ae/for-business#pricing from time to time).
  • "Paid Plan" means either the Flexi Plan or the Growth Plan. The authoritative list of plan names, features, and current pricing is published on the pricing page at listi.ae/for-business#pricing and is administered through the Plans page in the Business Dashboard. Where an earlier version of these Terms referred to "Standard Plan" or "Pro Plan", those references shall be read as referring to the Flexi Plan and the Growth Plan respectively.
  • "Arrangement" means any agreement or understanding made directly between a Business or Freelancer and a Referrer regarding introductions or any associated terms. All Arrangements are made entirely outside the Platform and Listi is not a party to them.
  • "UAE PDPL" means Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data.
  • "Force Majeure Event" means any event or circumstance beyond Listi's reasonable control, as described in Section 21.7.

3. Eligibility

3.1 To register on the Platform as a Business or Freelancer, you must:

  • be a legally registered company, sole establishment, or freelancer holding a valid UAE trade licence or freelancer permit, or an entity otherwise lawfully permitted to offer the services described in your Listing;
  • be authorised to enter into binding agreements on behalf of the entity you are registering; and
  • not be subject to any legal prohibition, regulatory sanction, or court order that would prevent you from operating or offering your services.

3.2 By registering, you confirm that all information you provide is accurate, complete, and current, and that you hold all licences, permits, and regulatory approvals required under UAE law to provide the services and Reward Offers described in your Listing.

3.3 Listi reserves the right to refuse registration, remove a Listing, or terminate an account where eligibility requirements are not met or cannot be verified.

3.4 Listi does not verify the accuracy or legal validity of licences, credentials, or permits submitted at registration or posted in a Listing. Responsibility for the accuracy of all Listing content and compliance with all applicable licensing and permit requirements rests solely with the Business or Freelancer.

3A. Why Rewards Matter — Understanding Listi's Core Purpose

3A.1 Listi is built around one central idea: Businesses and Freelancers offer rewards, and Referrers introduce clients in exchange for those rewards. The Reward Offer is the reason Referrers engage with your Listing. Without a clearly stated, honest, and legally compliant Reward Offer, Referrers have no basis to refer clients to your Business.

3A.2 Your Reward Offer is your commitment to every Referrer who reads your Listing. It tells them what they will receive if they successfully introduce a client who takes up your service. This commitment must be clear, specific, and honoured.

3A.3 You must clearly describe in your Listing: (a) what the reward is; (b) what triggers the reward; (c) when and how the reward will be paid or delivered; and (d) any conditions, exclusions, or limitations that apply.

3A.4 If your Reward Offer is unclear, incomplete, or not honoured, Referrers may lose trust in your Business. Listi may also remove your Listing if your Reward Offer is found to be misleading.

3A.5 Listi is not responsible for communicating reward terms to Referrers on your behalf. You are solely responsible for the accuracy and enforceability of your Reward Offer.

3A.6 For your own protection and for the protection of Referrers, you are strongly advised to follow up your Listing's Reward Offer with a written Arrangement agreed directly with each Referrer before any introduction is made.

3B. Business and Freelancer Registration

3B.1 When registering, you will identify your account type as either: (a) Business — a registered company, sole establishment, or corporate entity; or (b) Freelancer — an individual operating under a valid UAE freelancer permit.

3B.2 Both account types fall within the Business registration category on the Platform. All plans, pricing, features, obligations, and terms apply equally to Business and Freelancer accounts. The distinction is for identification purposes only.

3B.3 Freelancers must hold a valid UAE freelancer permit or equivalent licence authorising them to offer the services described in their Listing.

3C. Platform Jurisdiction and Scope

3C.1 Dubai Operation. Listi is operated solely within the Emirate of Dubai under DET Trade Licence No. 1523229. The Platform is designed for Businesses operating in Dubai and for Users and Referrers located in or targeting Dubai.

3C.2 Dubai-Issued Licences Required. Every Business and Freelancer listing on the Platform must hold a valid licence or permit that authorises operation in Dubai. This means: (a) a DET-issued mainland trade licence; or (b) a valid licence from a Dubai-based free zone (such as DMCC, DIFC, Dubai Internet City, Dubai Media City, DAFZA, JAFZA, or similar); or (c) a valid freelancer permit issued by a Dubai-recognised authority (for example, GoFreelance / TECOM, DMCC, in5, or similar); or (d) a valid UAE federal licence authorising operation in Dubai.

3C.3 Non-Dubai Businesses. Businesses licensed only in other emirates (Abu Dhabi, Sharjah, Ajman, Ras Al Khaimah, Fujairah, Umm Al Quwain) may list only if they: (a) hold a Dubai branch licence or federal licence authorising them to operate in Dubai; (b) declare their Dubai operational basis in their Listing; and (c) do not use the Platform to operate in Dubai without proper Dubai authorisation. By listing, you confirm that your Business is authorised to operate in Dubai.

3C.4 No Extraterritorial Use. The Platform may not be used to: (a) market services to clients outside the UAE in violation of the foreign jurisdiction's laws; (b) solicit cross-border clients in regulated sectors (financial services, real estate, crypto) without the required foreign licensing; or (c) circumvent Dubai licensing requirements by claiming operation from another emirate.

3C.5 Governing Authority. Listi is subject to the regulatory oversight of the Department of Economy and Tourism (DET) and, where applicable, other Dubai authorities. All disputes are subject to the exclusive jurisdiction of the onshore courts of the Emirate of Dubai as stated in Section 20.

4. Registration and Account Security

4.1 To create an account, you must register by providing accurate business details including your business name, trade licence or freelancer permit number, contact email, and service category.

4.2 You will receive a one-time password (OTP) by email to verify your email address. You must enter this OTP to complete account creation.

4.3 You are responsible for keeping your login credentials confidential. You must not share your account credentials with any unauthorised person.

4.4 You must notify us immediately at hi@listi.ae if you suspect any unauthorised access to your account.

4.5 Listi is not liable for any loss or damage resulting from your failure to maintain the security of your account credentials.

4.6 You may not register more than one account per registered business entity or freelancer without Listi's prior written consent.

4A. Email Communications

4A.1 By registering, you agree to receive the following categories of email from Listi:

  • Transactional emails — account creation confirmation, OTP codes, password resets, billing receipts, and subscription changes. These cannot be opted out of while your account is active.
  • Platform notifications — InternChat alerts, Listing activity, and account-level updates.
  • Activity reports — where included in your plan, periodic summaries of your Listing's performance data.
  • Service announcements — material changes to these Terms, Privacy Policy, pricing, or the Platform. These cannot be opted out of while your account is active.
  • Marketing and promotional emails — product updates, new features, and general communications. You may unsubscribe at any time via the unsubscribe link or by contacting hi@listi.ae.

4A.2 Unsubscribing from marketing emails does not affect transactional, notification, activity report, or service announcement emails.

4A.3 All emails are sent from the domain listi.ae. Check your spam folder if expected emails are not received.

4A.4 Listi will not send unsolicited commercial emails beyond the categories above. We do not sell or rent your email address to third parties.

4B. Passkey Sign-In

4B.1 After completing email verification, you may add a passkey to your account as an additional sign-in method using your device's built-in authentication (fingerprint, face recognition, or device PIN).

4B.2 Adding a passkey is optional. It does not replace your email and password credentials.

4B.3 A passkey is tied to the specific device on which it is created. Listi is not responsible for any access issues arising from a lost, replaced, or reset device. Keep your primary email and password credentials secure as a backup.

4B.4 Passkey sign-in does not confer any additional authorisation or permissions beyond those associated with your existing account and plan.

4C. Listing Review and Approval

4C.1 After submitting your Business Listing, it will be reviewed by Listi before publication. Your Listing will not be visible to Users or Referrers until it has received approval.

4C.2 Review timeframe. Listi will complete its review within 48 working hours of submission. Working hours are Monday to Friday, 9:00 AM to 6:00 PM UAE time, excluding UAE public holidays.

4C.3 What we review. During review, Listi checks: (a) business name, description, and About Us section are clearly written and accurately represent your Business; (b) services are described in sufficient detail; (c) Reward Offer and associated terms are clearly stated; (d) logo and media meet Platform standards; (e) Listing content does not expose Listi to reputational or legal risk; and (f) overall presentation meets Platform standards.

4C.4 What we do not verify. Listi's review is a content and presentation check only — not a legal or regulatory verification. Approval does not mean your Business is legally registered, your services are authorised under UAE law, your Reward Offer complies with UAE law, or that any information you provided is factually accurate. You remain solely responsible for legal compliance at all times.

4C.5 Outcome — Approved. Your Listing will be published on the Platform and made accessible to signed-in Users and Referrers according to your plan settings.

4C.6 Outcome — Declined. Listi will notify you by email with a reason. You may address the issues and resubmit. A declined Listing does not entitle you to a refund of any subscription fee already paid.

4C.7 Ongoing compliance. Approval is not permanent. Material updates may require fresh review. Listi reserves the right to remove or suspend a previously approved Listing at any time if it later identifies content in breach of these Terms.

4C.8 Listi acts as a directory only. Any legal, regulatory, financial, or reputational consequences arising from your Listing content are entirely your responsibility.

5. Business Listings

5.1 A Business Listing is your profile on the Platform and the primary way Users and Referrers discover and contact your Business.

5.2 You are solely responsible for the accuracy, completeness, and legality of all content in your Listing, including your business description, services, contact details, media, Blog Posts, and Reward Offer.

5.3 Your Listing must accurately represent your Business, the services you are legally authorised to offer, and the geographic areas you serve. You must not include misleading, false, or exaggerated information.

5.4 Media and Copyright. Any photos, images, videos, or other media you upload must be content you own or have a valid licence to use. You must not upload: (a) third-party copyrighted material without permission; (b) logos or trademarks belonging to any other company without written authorisation; (c) stock images without a valid commercial licence; or (d) any media infringing the intellectual property rights of any person. Listi reserves the right to remove infringing content without prior notice.

5.5 If your business details, services, licence status, or contact information change, you must update your Listing promptly.

5.6 Listi reserves the right to edit, remove, or refuse to publish any Listing content it considers inaccurate, misleading, unlawful, offensive, or in breach of these Terms, without prior notice.

5.7 By submitting Listing content, you grant Listi a worldwide, perpetual, irrevocable, non-exclusive, royalty-free licence to use, display, reproduce, modify, adapt, and distribute that content for the purposes of operating, promoting, and improving the Platform.

5.8 You confirm that you own or have all necessary rights to any content you submit, and that it does not infringe the intellectual property or other legal rights of any third party.

5J. Document Accuracy, Fraud, and Legal Consequences

5J.1 All documents submitted to Listi at registration, during use of the Platform, or in response to any Listi request — including trade licences, freelancer permits, identification documents, professional certifications, regulatory approvals, and any supporting evidence — must be genuine, current, accurate, and lawfully in the possession of the submitting party.

5J.2 Prohibited Conduct. Submitting any of the following is a serious breach of these Terms: (a) forged, altered, manipulated, or fabricated documents; (b) expired, suspended, revoked, or cancelled documents represented as current; (c) documents belonging to another person or entity; (d) documents issued by a different jurisdiction but represented as UAE-issued; or (e) any misrepresentation of the scope, authority, or status reflected in a document.

5J.3 Consequences. Where Listi determines at its sole discretion that a Business, Freelancer, or individual has engaged in any conduct described in Section 5J.2: (a) the Listing will be removed immediately without prior warning; (b) the account will be permanently banned; (c) all fees paid will be forfeited with no refund; (d) Listi may pursue legal action under applicable UAE law including the Penal Code (Federal Decree-Law No. 31 of 2021) and the Cybercrimes Law (Federal Decree-Law No. 34 of 2021); (e) Listi may report the conduct to Dubai Police, the UAE Public Prosecution, DET, and any other relevant authority; and (f) the offending party is liable to Listi for all costs, damages, and losses arising from the fraud under Section 11 (Indemnity).

5J.4 Enhanced Consequences for High-Risk Sectors. Where the fraudulent Listing is in a sector governed by Section 6A (forex, cryptocurrency, virtual assets, financial applications, introducing broker activity), the enhanced consequences in Section 6A.12 apply and take precedence over this Section 5J.

5J.5 Survival. This Section survives termination of the account and applies to conduct discovered at any time.

5A. Blog Posts

5A.1 Businesses and Freelancers may publish Blog Posts on their Listing page to share content relevant to their services, industry updates, or offers.

5A.2 Every Business account, including Free Plan accounts, is entitled to one (1) Blog Post at no additional cost.

5A.3 Additional Blog Posts are available for an additional fee regardless of plan. The fee per additional Blog Post will be displayed in your Dashboard at the time of purchase.

5A.4 Each Blog Post is active for one (1) year from the date of publication and will automatically expire and be removed after that period.

5A.5 Blog Post content is subject to the same requirements as your Listing, including Section 5.4 media and copyright rules and Section 13 acceptable use rules.

5A.6 Listi reserves the right to remove any Blog Post in breach of these Terms without prior notice and without refund.

5A.7 Listi reserves the right to modify Blog Post pricing and validity periods with at least 14 days' prior notice.

5A.8 Industry standards. All Blog Posts must be written to a professional standard. Content should be informative, factual, and relevant to your Business or sector.

5A.9 No competitor references. You must not mention, reference, name, compare yourself to, or make any statement about any competitor Business, whether listed on the Platform or otherwise.

5A.10 No false or misleading content. You must not publish fabricated statistics, misleading information, exaggerated results, or any content designed to deceive readers.

5A.11 No inappropriate content. Blog Posts must not contain offensive language, discriminatory content, political statements, religious commentary, or any material harmful or defamatory under UAE law.

5A.12 Admin review before publication. Every Blog Post is subject to review and approval by Listi's administration team before going live.

5A.13 If a Blog Post is declined, you will be notified and may revise and resubmit. A declined Blog Post does not entitle you to a refund.

5A.14 Listi reserves the right to remove any Blog Post at any time after publication if it is found to breach these Terms.

5B. Platform Visibility, User Access, and InternChat

5B.1 Signed-out visitors. Users not signed in will only see your Business name and essential contact category information. Full Listing details, Blog Posts, Reward Offer, videos, images, and InternChat are only accessible to signed-in registered Users.

5B.2 T&C-accepted Users in your Dashboard. All Users and Referrers who have accepted the Listi User and Referrer Terms and Conditions are visible in your Dashboard. You may initiate InternChat with these Users subject to your plan's messaging limits.

5B.3 Access is conditional on T&C acceptance. You do not have access to details of any User who has not accepted the Listi User and Referrer Terms and Conditions.

5B.4 Search Engine and Discovery Platform Indexing. Free Plan Listings and Free Plan Blog Posts are not submitted to any search engine indexes or AI discovery platforms and will not appear in results on Google, Microsoft Bing, Yahoo, DuckDuckGo, AI answer engines, or any other search or discovery platform.

5B.5 Search Engine and Discovery Platform Indexing. Flexi and Growth Plan Listings and Blog Posts are submitted to major search engines for indexing and may be discoverable by AI-driven search and answer platforms. Whether, when, and how a page is indexed, ranked, displayed, or cited is determined by each search engine or AI platform provider and is outside Listi's control, as set out in Sections 5K and 5L. No specific ranking, indexing timeframe, visibility, or citation is guaranteed across any platform.

5C. Media — Images and Videos

5C.1 Businesses and Freelancers may add images and videos to their Listing to present their brand, services, team, or business environment.

5C.2 Images. You may upload images through your Dashboard or during sign-up. All images must comply with the copyright and media requirements in Section 5.4.

5C.3 Videos — Paid Plans only. The video feature is available exclusively to Paid Plan subscribers. To add a video, you must provide a YouTube URL, which can be added during sign-up or through your Dashboard at any time.

5C.4 You are responsible for ensuring any video you link is owned by you or content you are legally authorised to share, is publicly accessible on YouTube at the time of linking, and is free from copyrighted third-party content for which you do not hold the rights.

5C.5 Listi is not responsible for any content hosted on YouTube or any third-party platform.

5C.6 Listi reserves the right to remove any image or video link in breach of these Terms without prior notice.

5D. Listi's Role, Limitations, and Risk Disclosure

5D.1 Listi is a directory and networking platform only. Listi does not endorse, verify, recommend, or warrant any Business, its services, or the accuracy of any Listing content.

5D.2 Listi does not guarantee that any Referrer will introduce customers to your Business or that any introduction will result in a transaction.

5D.3 Listi does not track, monitor, or report on the status of any introduction or Arrangement made between your Business and a Referrer.

5D.4 Listi does not mediate, arbitrate, or resolve any dispute between a Business and a Referrer or between a Business and a referred customer.

5D.5 No guarantee of lead quality. Listi does not screen, qualify, or guarantee the quality, suitability, or intent of any Referrer or potential customer introduced by a Referrer.

5D.6 Listi is a directory only. Listi does not act as your agent, representative, sales team, or marketing partner and does not drive, influence, or take responsibility for any commercial outcome.

5D.7 Referral outcomes are uncertain. A Referrer introducing a potential customer does not guarantee that a transaction will occur. You accept that referral-based introductions carry inherent commercial uncertainty and that Listi bears no responsibility for any outcome.

5D.8 By accepting these Terms and listing on the Platform, you acknowledge that Listi operates solely as a directory and accepts no liability for any transaction, engagement, Arrangement, or commercial relationship arising between your Business and any Referrer or referred customer.

5E. Categories and Tags

5E.1 During sign-up, you must select the category that most accurately describes your primary business activity. Selecting an inaccurate or misleading category may result in your Listing being declined or removed.

5E.2 You may add tags to further describe your services and specialisations. Use only tags genuinely relevant to your Business. Listi reserves the right to remove tags that are misleading, irrelevant, or used to manipulate search results.

5E.3 Category and tag selections can be updated through your Dashboard at any time, subject to Listi's review if the change materially alters the nature of your Listing.

5F. Business Listing Page Structure

5F.1 Once approved, your Business Listing page will display: (a) Cover image; (b) Logo; (c) Reward value; (d) Reward type; (e) Reward timeline; (f) About Us section; (g) Services offered; (h) Tags; (i) Video or image (Paid Plans); (j) Blog Posts; and (k) Gallery (Paid Plans).

5F.2 Not all elements are available on all plans. Features marked as plan-specific are subject to the plan requirements in Section 8.

5F.3 Listi may add, modify, or remove Listing page elements in the future. Where any such change materially affects paid subscribers, at least 14 days' prior notice will be provided.

5G. Business Account Isolation

5G.1 A Business account is strictly limited to your own Business. By registering, you acknowledge that: (a) you can only view, manage, and access your own Listing, Dashboard, Blog Posts, analytics, and InternChat; (b) you cannot view or access the Listings, pages, Dashboard data, or account details of any other Business; (c) you cannot use the Platform to research, monitor, or gather information about competing Businesses; and (d) any attempt to access another Business's account or data through technical means constitutes a breach of these Terms and of Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes.

5G.2 This isolation protects every Business on the Platform from commercial intelligence gathering and ensures a fair and neutral environment for all participants.

5H. Search, Filters, and Listing Placement

5H.1 The Platform provides a browse page where Users and Referrers can discover Business Listings, including a search bar and filter options.

5H.2 Businesses must ensure their reward type, reward value, and category are accurately completed to appear correctly in filtered results.

5H.3 Top Picks — Growth Plan (AED 999/month). Growth Plan Listings are featured in the Top Picks section at the front of the browse page and at the top of their relevant category with the highest placement priority.

5H.4 Second tier — Flexi Plan (AED 249/month). Flexi Plan Listings are displayed after Top Picks but ahead of all Free Plan Listings.

5H.5 Last tier — Free Plan. Free Plan Listings appear after all paid plan Listings in all browse and category results.

5H.6 Filter results ordering. Results within filtered views are ordered by plan tier first (Pro, then Standard, then Free) and then by reward value within each tier.

5H.7 Listi does not guarantee any specific number of views, clicks, InternChat messages, or referral introductions for any Listing on any plan.

5H.8 Listi reserves the right to adjust the browse page layout, filter options, and placement algorithm at any time, with at least 14 days' notice to paid subscribers for material changes.

5I. Contact Person and Representative Details

5I.1 Every Business Listing must include the name and position or job title of a designated contact person who acts as the Business's representative on the Platform.

5I.2 The contact person must be a real, identifiable individual directly associated with the Business and authorised to represent the Business in connection with the Listing and any Reward Offer posted.

5I.3 The contact person is personally and professionally accountable for the accuracy of the Listing content in their capacity as the named representative.

5I.4 Accuracy of contact details is mandatory. The contact name, position, phone number, email address, and any other contact information must be accurate, current, and verifiable. The phone number must be a valid, active number reachable by the named contact person. Any links provided (website, LinkedIn, WhatsApp, or other) must be correct, active, and belonging to the Business.

5I.5 Providing a false name, wrong phone number, inactive number, or any other inaccurate contact detail is a direct breach of these Terms and may constitute a violation of applicable UAE law, including Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes.

5I.6 Listi takes no part in any legal matter arising from inaccurate contact details. Any legal issue, complaint, dispute, or regulatory action arising from inaccurate contact information is entirely between the affected party and the Business and its named representative.

5I.7 Contact details must be updated promptly in your Dashboard if they change.

5K. SEO Listing Pages and Search Engine Indexing

5K.1 What Listi Provides. For Businesses on the Flexi and Growth Plans, Listi provides a dedicated listing page on the Platform at listi.ae that is configured for search engine discovery. This configuration includes unique page URL, optimised title tag and meta description, structured data and schema markup, submission to major search engine webmaster tools (including but not limited to Google Search Console and Microsoft Bing Webmaster Tools), inclusion in the Platform's XML sitemap, and technical SEO best practices including mobile responsiveness and page speed optimisation.

5K.2 Free Plan Exclusion. Free Plan listings are not submitted to any search engine indexes, are not included in the Platform's sitemap, and will not appear in search results on any search engine or discovery platform. This exclusion is a designed limitation of the Free Plan.

5K.3 Indexing Is Controlled by Search Engine Providers. Listi submits listing pages and Blog Posts to search engine providers for indexing, but the decision whether to index any page, when to index it, how it is ranked, whether it appears in search results, and how it is displayed in search results or AI-generated summaries is controlled entirely by the search engine providers. Search engine providers include but are not limited to:

  • (a) Google (Google Search, Google AI Overviews, Gemini);
  • (b) Microsoft (Bing, Copilot, Microsoft Start);
  • (c) Yahoo Search;
  • (d) DuckDuckGo;
  • (e) Yandex;
  • (f) Baidu;
  • (g) Apple Spotlight and Siri Search;
  • (h) AI-driven search and answer engines including ChatGPT Search, Perplexity, Claude, and similar platforms;
  • (i) Any other search, discovery, or AI answer platform operated by a third party.

This is outside Listi's control.

5K.4 No Guarantee of Rankings, Traffic, or Visibility. Listi makes no representation, warranty, or guarantee regarding:

  • (a) whether any Listing page or Blog Post will be indexed by any search engine or AI discovery platform;
  • (b) how long indexing will take after publication;
  • (c) the position at which any page will appear in search results on any platform;
  • (d) the volume of traffic, clicks, impressions, or leads the page will generate from any source;
  • (e) whether the page will appear for any specific search query or keyword on any platform;
  • (f) the duration for which any ranking or visibility, once achieved, will be maintained;
  • (g) the impact of search engine or AI platform algorithm changes on any page's performance;
  • (h) whether any page will be cited, quoted, or referenced by AI answer engines or large language model based search tools.

5K.5 SEO Is a Long-Term Investment. Search engine optimisation is a long-term process. Most pages require 60 to 120 days before measurable search visibility develops on major search engines. Some pages may take longer. Some pages may never rank prominently regardless of optimisation efforts. AI discovery platform visibility is even less predictable as these platforms are rapidly evolving. This is the nature of search and discovery optimisation and is accepted by the Business upon subscription.

5K.6 No Refund for SEO Outcomes. Subscription fees paid for Flexi and Growth Plans are non-refundable under Section 9.6. This non-refundability applies specifically, but not exclusively, to any dissatisfaction with search engine rankings, traffic levels, indexing speed, AI platform visibility, or any other SEO-related outcome on any search or discovery platform. Subscription fees are paid for access to the Platform's features including SEO-ready listing pages, not for guaranteed search engine or AI platform results.

5K.7 Third-Party Actions Affecting SEO. Listi is not responsible for any negative impact on a Business's search visibility caused by:

  • (a) algorithm updates by Google, Microsoft, or any other search engine or AI platform provider;
  • (b) manual actions or penalties imposed by any search engine or AI platform on the Platform or on any page;
  • (c) changes to search engine or AI platform guidelines, policies, or terms of service;
  • (d) the Business's own website SEO issues, duplicate content, or penalties affecting its domain;
  • (e) actions taken by competitors, including negative SEO attacks;
  • (f) changes in search volume, search intent, or AI query patterns for any keyword or topic;
  • (g) discontinuation, restructuring, or closure of any search engine or AI platform.

5K.8 Business's Own SEO Responsibilities. The SEO benefit provided by Listi supplements but does not replace the Business's own search engine and AI discovery optimisation efforts on its own website. The Business remains solely responsible for the SEO of its own domain, website content, backlink profile, and any other digital property it operates, across all search and discovery platforms.

5K.9 Platform-Wide SEO Considerations. Listi continuously optimises the Platform's overall SEO architecture. Changes to URL structures, category pages, internal linking, or site architecture may occur and may temporarily affect individual Listing performance across search and AI platforms. Listi will make reasonable efforts to minimise negative impact during such changes but does not guarantee continuity of any specific URL, ranking, or AI platform visibility.

5K.10 Removal Consequences. If a Business's Listing is removed, suspended, paused, hidden, or the subscription is cancelled, the associated SEO and AI discovery benefits cease. Indexed pages may be removed from search engines and AI platforms over time. Previously achieved rankings or citations will be lost.

5K.11 No Advisory Role. Listi does not provide SEO consultancy, AI optimisation auditing, or advisory services. Any general SEO or AI discovery information shared via the Platform, Blog, or communications is for informational purposes only and does not constitute professional SEO, AI optimisation, or digital marketing advice.

5L. Blog Post Search Engine and AI Discovery Indexing

5L.6 Search Engine and Discovery Platform Indexing of Blog Posts. Blog Posts published under the Flexi Plan, Growth Plan, and paid additional Blog Post tiers are submitted for indexing to major search engines and may be discoverable through AI-driven answer platforms. The Free Plan Blog Post is not submitted for indexing. The indexing, ranking, visibility, and citation of any indexed Blog Post in search results or AI-generated answers across Google, Microsoft Bing, other search engines, and AI discovery platforms is subject to the limitations stated in Section 5K. Listi does not guarantee any specific SEO, search, or AI platform outcome for any Blog Post.

5M. Consolidated SEO and Content Disclaimers

5M.1 Non-Advisory Nature. The SEO features and Blog Post services provided by Listi are platform features, not professional SEO consultancy services. Listi is not a licensed SEO agency, digital marketing consultant, search engine marketing expert, or AI optimisation specialist.

5M.2 Algorithm and Platform Risk. Google, Microsoft, and other search engine providers regularly update their algorithms. AI-driven search and answer platforms are a rapidly evolving category. Features, tools, or optimisations that are effective today on any platform may become ineffective or counterproductive in the future. Listi cannot predict or control such changes.

5M.3 No Performance Warranties. Listi expressly disclaims any warranty, express or implied, relating to search engine performance, AI discovery platform performance, organic traffic generation, AI citation frequency, lead volume, conversion rates, return on investment, or any other commercial outcome of the SEO features or Blog Post services.

5M.4 Liability Cap. The limitation of liability in Section 16 applies fully to any claim arising from or related to SEO performance, AI platform performance, Blog Post performance, search engine indexing, rankings, traffic, citations, or any related outcome across any platform.

5M.5 Survival. This Section and Sections 5K and 5L survive termination of the Business's subscription or account.

6. Reward Offers

6.1 Your Business Listing may include a Reward Offer describing what you commit to provide to a Referrer upon a successful confirmed introduction.

6.2 Types of Reward Offer. A Reward Offer may be: (a) a percentage commission based on the referred client's confirmed purchase or engagement value; (b) a fixed cash amount paid upon confirmation of service uptake; (c) a physical gift or voucher of defined value; or (d) any other benefit lawfully permitted under UAE law.

6.3 Regulatory Permit Requirement. Certain types of Reward Offers including promotional schemes, cash commission arrangements, and gift campaigns may require a permit from the relevant UAE authority. You are solely responsible for determining whether your Reward Offer requires a permit and for obtaining any required permit before publishing.

6.4 Regulated Sectors — Compulsory Permit Requirement. If your business operates in any of the following sectors, obtaining the relevant regulatory permit before publishing a Reward Offer is compulsory:

  • Real estate — any commission or reward tied to a property transaction requires a valid RERA licence and compliance with Dubai Land Department regulations;
  • Financial services — any reward linked to a financial product, investment, lending, or banking service requires authorisation from the Central Bank of the UAE or the relevant financial regulatory authority;
  • Payments and remittances — any reward tied to payment processing or money transfer requires a licence from the Central Bank of the UAE;
  • Foreign exchange (forex) — any reward connected to currency exchange or forex trading requires a valid SCA or DFSA licence; and
  • Cryptocurrency and digital assets — any reward linked to crypto trading, token sales, or digital asset activity requires registration from VARA in Dubai or the relevant federal authority.

If you are unsure whether a permit is required, you must seek independent legal or regulatory advice before publishing your Reward Offer.

6.5 By publishing a Reward Offer, you confirm it is lawful under UAE law, you hold any required permit, and you have the operational and financial capacity to fulfil it.

6.6 Listi Cannot Verify Your Permits. Listi is a directory platform and does not verify whether you hold required permits. Listi takes no responsibility for any Reward Offer published without required authorisation.

6.7 Full Liability Rests with the Business. Any legal issue, regulatory action, complaint, fine, claim, or liability arising from your Reward Offer is entirely your responsibility. Listi accepts no liability whatsoever in connection with any such matter.

6.8 When to Pay a Reward. You must not pay any reward until the referred customer has confirmed and commenced use of your services. A referral introduction alone does not entitle a Referrer to any reward.

6.9 Written Arrangement Strongly Advised. You are strongly advised to confirm any Arrangement with a Referrer in writing before any introduction is made.

6.10 Listi does not track or update the status of any referral on your behalf.

6.11 Listi's Non-Involvement in Disputes. If a Referrer claims that a reward is owed or disputes the outcome of a referral, that is a matter strictly between you and the Referrer. Listi will not investigate, adjudicate, or resolve such disputes.

6A. High-Risk Financial Sectors (Forex, Crypto, Virtual Assets, Payments, IB Activity)

6A.1 Scope. This Section 6A applies to any Business or Freelancer Listing in the sectors of (a) foreign exchange (forex) trading, (b) cryptocurrency and virtual assets, (c) securities and financial introducing broker (IB) activity, (d) payment or remittance services, (e) insurance-related introducing broker activity, or (f) any mobile application or platform offering any of the foregoing. These sectors carry elevated regulatory risk and potential consumer harm and are subject to enhanced verification standards on the Platform.

6A.2 Mandatory Licensing Requirements (Dubai-Only). Businesses in these sectors must, before publishing any Listing or Reward Offer, hold all applicable Dubai and UAE federal licences, including:

  • Cryptocurrency and virtual assets: valid licence from the Virtual Assets Regulatory Authority (VARA) under Dubai Law No. 4 of 2022, or valid licence from the DFSA if operating from DIFC;
  • Forex, securities, and financial IB activity: valid licence from the Securities and Commodities Authority (SCA) under Federal Decree-Law No. 4 of 2000, or valid licence from the DFSA if operating from DIFC;
  • Payment or remittance features in any app: valid Retail Payment Services licence from the Central Bank of the UAE under Circular No. 15/2021;
  • Insurance-related IB activity: valid licence from the Central Bank of the UAE (Insurance Sector) under Federal Decree-Law No. 48 of 2023;
  • Any promotional scheme or commission structure: all permits required under Federal Law No. 15 of 2020 on Consumer Protection and Executive Council Resolution No. 1 of 2024 on Trade Promotions in Dubai; and
  • Trade licence: valid mainland DET trade licence, valid Dubai free zone licence, or valid freelancer permit from a Dubai-recognised authority — in each case authorising the specific activity.

6A.3 Mandatory Document Verification. Before a Listing in a Section 6A sector can be published, the Business must complete Listi's document verification flow from its Dashboard, including uploading legible copies of all licences identified in Section 6A.2 that apply to its activity. A Section 6A Listing is hidden from public view until Listi has approved the submission.

6A.4 Status Snapshot. Verification is a snapshot at a point in time. The Business must re-submit updated documents promptly whenever a licence is renewed, varied, suspended, revoked, or replaced. Failure to maintain current documentation is a material breach and may result in suspension of the Listing.

6A.5 Listi Does Not Verify Licences Substantively. Listi's role is limited to receiving the documents, checking that they are legible, current on their face, and on-topic for the activity declared. Listi does not and cannot verify whether a document is genuine, whether the issuing authority actually issued it, or whether the underlying regulatory status is valid. The Business remains solely responsible for the accuracy and validity of every document submitted.

6A.6 Required User-Facing Risk Disclosure. Every Section 6A Listing must carry a clear risk disclosure visible to any User or Referrer viewing the Listing, including statements that: (a) the activity carries substantial risk of loss; (b) past performance does not guarantee future results; (c) Listi is not a party to any transaction and does not guarantee any return, reward, or outcome; and (d) Users and Referrers should obtain independent professional advice before engaging. Listi will display this disclosure automatically on every Section 6A Listing.

6A.7 No Advice. Nothing published on the Platform by the Business or by Listi constitutes financial, investment, legal, tax, or regulatory advice. Users and Referrers must not treat any Listing as a solicitation, offer, or recommendation.

6A.8 Rewards to Referrers. Any Reward Offer in a Section 6A Listing must comply with Section 6A.2(e) (promotional permits) and with the Reward Offer rules in Section 6. Cash commissions, introducer fees, or revenue-share arrangements linked to financial products are only permitted where expressly authorised by the relevant regulator.

6A.9 No Retail Advice or Custody. The Business must not use the Platform to (a) offer personal financial advice to retail Users, (b) solicit custody of client funds or assets through Listi, or (c) operate any arrangement that would require a retail-facing financial licence that the Business does not hold.

6A.10 User / Referrer Liability Carve-Out. Listi accepts no liability for any financial loss, investment loss, opportunity cost, reputational harm, or other damage suffered by any User or Referrer in connection with a Section 6A Listing, except to the extent caused by Listi's gross negligence or wilful misconduct. This is without prejudice to any other limitation or exclusion in these Terms.

6A.11 Dubai-Only Confirmation. By submitting a Section 6A Listing, the Business confirms on an ongoing basis that (a) it is authorised to operate in Dubai as set out in Section 3C, (b) it does not use the Platform to offer its services outside the UAE in a manner contrary to any foreign law, and (c) any cross-border activity it undertakes is separately and lawfully licensed in the relevant jurisdiction.

6A.12 Document Fraud — Zero Tolerance and Mandatory Legal Action.

6A.12.1 Businesses and Freelancers listing in the sectors described in Section 6A.1 are subject to enhanced verification standards due to the elevated regulatory risk and potential consumer harm associated with these sectors.

6A.12.2 Prohibited Conduct. The following actions constitute serious breaches of these Terms and of UAE law: (a) submitting a forged, altered, manipulated, or fabricated trade licence, freelancer permit, regulatory licence, or authorisation certificate; (b) submitting an expired, suspended, revoked, or cancelled licence while representing it as current and valid; (c) submitting a licence belonging to a different legal entity, individual, or branch; (d) submitting a licence issued in a different jurisdiction while representing it as a UAE-valid licence; (e) misrepresenting the scope, class, or category of a held licence (for example, representing a generic commercial licence as an SCA IB licence); (f) impersonating a licensed entity or individual by using their licence details; (g) providing false licence numbers, expiry dates, issuing authority names, or any other licence-related data; (h) misrepresenting the Business's regulatory status, approvals, or compliance standing; and (i) uploading any other document in a fraudulent, altered, or misleading form including but not limited to bank letters, audit reports, identity documents, or regulatory correspondence.

6A.12.3 Legal Action — Mandatory, Not Discretionary. Listi will file formal legal action against any Business, Freelancer, or individual found to have engaged in any conduct described in Section 6A.12.2. This is not a discretionary power — it is a stated policy. Legal action will be pursued under all applicable UAE laws including: Federal Decree-Law No. 31 of 2021 on the Issuance of the Crimes and Penalties Law (Penal Code), specifically provisions relating to forgery of official and private documents; Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes, where the misrepresentation occurs through digital means; Federal Law No. 15 of 2020 on Consumer Protection; Federal Decree-Law No. 4 of 2022 on the Regulation of Virtual Assets; Federal Decree-Law No. 14 of 2018 on the Central Bank and Regulation of Financial Institutions and Services; Dubai Law No. 4 of 2022 on Virtual Assets and related VARA regulations; Securities and Commodities Authority (SCA) regulations, where applicable; and any other applicable federal or emirate-level legislation.

6A.12.4 Regulatory Reporting. In addition to civil and criminal action, Listi will report any confirmed case of document fraud or material misrepresentation to the relevant UAE regulatory and law enforcement authorities, including but not limited to Dubai Police, the UAE Public Prosecution, VARA, SCA, the Central Bank of the UAE, the Department of Economy and Tourism (DET), and any other competent authority.

6A.12.5 No Tolerance, No Warning, No Refund. (a) Listings involving fraudulent or misrepresented documentation will be removed immediately and permanently without prior warning; (b) the offending account will be permanently banned; (c) all subscription fees, Blog Post fees, and any other amounts paid will be forfeited in full with no refund under any circumstances; (d) the offending individual and any affiliated legal entities will be permanently prohibited from registering on the Platform, under any name, structure, or licence; and (e) Listi reserves the right to publicise the ban and the reason for it, including the name of the offending Business and individual, to the extent permitted by UAE law.

6A.12.6 Full Cost Recovery. The offending Business or individual shall be liable for all costs incurred by Listi in connection with the fraud, including but not limited to: legal fees and court costs; investigation costs; regulatory liaison costs; damages suffered by Listi including reputational damage; damages paid by Listi to any third party (including Users or Referrers) as a result of the fraud; and any fines, penalties, or sanctions imposed on Listi by any regulator as a result of the fraudulent Listing. These costs are recoverable in addition to any other remedy available to Listi under these Terms (including the indemnity in Section 11) or under UAE law.

6A.12.7 Indemnity for Downstream Harm. Where a User or Referrer suffers financial loss as a result of engaging with a Business that submitted fraudulent documentation, the offending Business remains fully and solely liable for all such loss. The offending Business indemnifies Listi under Section 11 for any claim brought by an affected User or Referrer.

6A.12.8 Listi's Verification Role Unchanged. For the avoidance of doubt, Listi's stated position in Sections 3.4, 6.6, and 6A.5 that Listi does not verify the accuracy or legal validity of licences submitted at registration remains fully in force. This Section 6A.12 creates consequences for fraud committed by the Business against Listi and against Platform Users; it does not transfer responsibility for verification to Listi.

6A.12.9 Survival. This Section 6A.12 survives termination of the account, removal of the Listing, and cancellation of any subscription, and applies to all conduct discovered by Listi at any time, whether during or after the offending Business's presence on the Platform.

6B. Real Estate Sector

6B.1 Scope. This Section 6B applies to any Business or Freelancer Listing in the real estate sector, including brokerage, property management, leasing, development, short-term rentals, and holiday homes.

6B.2 Mandatory Licensing Requirements (Dubai-Only). Businesses in the real estate sector must, before publishing any Listing or Reward Offer, hold all applicable Dubai licences, including:

  • Real Estate Brokers: valid brokerage licence from the Real Estate Regulatory Agency (RERA) under the Dubai Land Department (DLD), in accordance with Law No. 85 of 2006 and Executive Council Resolution No. 6 of 2010;
  • Individual Broker Cards: valid RERA broker card for every individual broker operating under the Business, issued by DLD;
  • Property Management and Leasing: valid RERA property management licence;
  • Real Estate Developers: valid developer registration with RERA, and where applicable, valid Escrow Account approval under Law No. 8 of 2007 concerning Escrow Accounts for Real Estate Development in Dubai;
  • Short-Term Rentals and Holiday Homes: valid Holiday Homes Operator Permit from the Department of Economy and Tourism (DET);
  • AML Registration: registration with the Ministry of Economy as a Designated Non-Financial Business and Profession (DNFBP) under Federal Decree-Law No. 20 of 2018, and active compliance with the goAML reporting system; and
  • Trade licence: valid DET trade licence or valid Dubai free zone licence authorising real estate activity.

6B.3 Verification Tools. RERA broker licence and broker card validity can be verified publicly via the Dubai REST app or the DLD website. Users and Referrers are encouraged to verify independently before engaging.

6B.4 Document Fraud. Submitting a forged, altered, expired, or misrepresented RERA broker licence, broker card, developer registration, escrow approval, or Holiday Homes permit is a breach of these Terms and is subject to the consequences in Section 5J. Where such conduct amounts to material misrepresentation in a regulated sector, Listi reserves the right to treat it in the same manner as conduct under Section 6A.12 and to report it to RERA, DLD, DET, Dubai Police, and any other competent authority.

6C. Other Regulated Sectors (Consolidated)

6C.1 Scope. This Section 6C applies to any Business or Freelancer Listing in a UAE-regulated sector not otherwise covered by Sections 6A (high-risk financial) or 6B (real estate). Before publishing any Listing or Reward Offer in any of the sectors below, the Business must hold all applicable Dubai and federal licences, permits, and registrations, and must comply with all sector-specific regulations:

  • Healthcare, medical, and wellness services — valid licence from the Dubai Health Authority (DHA) (or MOHAP / DHCA as applicable to the premises). No Reward Offer may be linked to a specific clinical outcome, diagnosis, or treatment result. No promotion of prescription-only medicines to the public. Advertising must comply with DHA Health Advertising Regulations.
  • Legal services — valid practising licence from the Dubai Legal Affairs Department (DLAD), in accordance with Federal Law No. 23 of 1991 Regulating the Legal Profession and Dubai legal practice regulations. No fee-splitting or commission arrangements that would be unlawful under legal profession rules. No advocacy before Dubai courts by any non-licensed person.
  • Education, tutoring, and training — valid permit from the Knowledge and Human Development Authority (KHDA). No guaranteed exam outcomes, grades, visa results, or employment outcomes in any Listing or Reward Offer.
  • Beauty, aesthetic, salon, and spa services — valid trade licence from Dubai Municipality; aesthetic and cosmetic medical procedures additionally require DHA licensing of both premises and practitioners. No medical or therapeutic claims for non-medical beauty services.
  • Food and beverage, catering, and food production — valid trade licence from Dubai Municipality (Food Safety Department); ESMA halal standards where applicable. No promotion or sale of alcohol through the Platform under any circumstances.
  • Travel, tourism, and visa services — valid DET Tourism licence (and IATA accreditation where applicable). Visa consultancy and PRO services must be provided only by parties licensed for that specific activity.
  • Automotive sales and rental — valid RTA and DET licences as applicable. Peer-to-peer vehicle sales by unlicensed individuals are prohibited (see Section 13A.1.10).
  • Construction, contracting, engineering, and interior design — valid Dubai Municipality contractor/consultant licence of the correct grade and classification for the scope of work advertised.
  • Accounting, audit, tax, and bookkeeping — valid Ministry of Economy registration (and FTA tax agent registration where tax agency services are offered). No unauthorised holding out as a registered auditor or FTA-approved tax agent.
  • Recruitment, manpower supply, and domestic worker services — valid MOHRE recruitment / Tadbeer licence as applicable; placements must be processed through Tas'heel / MOHRE channels.
  • IT services, software development, marketing, and advertising — valid mainland DET licence, Dubai free zone licence, or freelancer permit from a Dubai-recognised authority covering the activity. Any processing of personal data must comply with Federal Decree-Law No. 45 of 2021 on Personal Data Protection (UAE PDPL).

6C.2 Reward Offer Rules for Regulated Sectors. Any Reward Offer in a Section 6C sector must comply with Section 6 generally and the sector-specific rules above. In particular: (a) no Reward Offer may be structured as a fee-split that the relevant regulator prohibits (including legal, healthcare, and audit professions); (b) no Reward Offer may be tied to a clinical outcome, guaranteed exam result, guaranteed visa outcome, or guaranteed employment placement; and (c) no Reward Offer may be used to induce conduct that would breach the sector's regulatory code.

6C.3 Document Fraud and Misrepresentation. Submitting a forged, altered, expired, or misrepresented licence, permit, or registration in any Section 6C sector is a breach of these Terms and is subject to the consequences in Section 5J. Where the conduct amounts to material misrepresentation in a regulated sector, Listi reserves the right to treat it in the same manner as conduct under Section 6A.12 (including mandatory legal action and regulator reporting) and to report it to the relevant authority (DHA, DLAD, KHDA, Dubai Municipality, DET, RTA, Ministry of Economy, FTA, MOHRE, Dubai Police, and any other competent body).

6C.4 Listi Non-Involvement. Listi is a directory and does not verify licences substantively, does not provide sector-specific compliance advice, and is not a party to any arrangement between the Business and any User, Referrer, patient, student, client, or customer. All regulatory risk in the relevant sector rests entirely with the Business.

6D. Listi's Position on Regulated Sector Listings — Neutral Directory Status

6D.1 Listi Is Not a Regulated Sector Operator. Listi is a directory and listing platform only. Listi is not licensed, authorised, or registered to operate, intermediate, advise on, or broker services in any of the regulated sectors listed in Sections 6A (financial services, forex, cryptocurrency, insurance), 6B (real estate), or 6C (healthcare, legal, education, beauty, food and beverage, travel, automotive, construction, accounting, recruitment, and IT services).

6D.2 Listi's Role Is Purely Intermediary. Listi provides only a digital space where Businesses and Freelancers may publish Listings describing themselves and their services. Listi does not provide, endorse, recommend, verify, or guarantee any service in any regulated sector. Listi is not a party to any transaction, engagement, arrangement, or agreement between a Business and a User or Referrer.

6D.3 Sector Access Is Conditional on the Business's Own Legal Standing. A Business may list in a regulated sector only if it is itself legally authorised to operate in that sector under applicable UAE federal and Dubai laws, and only if it holds all licences, permits, registrations, and approvals required from the relevant competent authority. Competent authorities include the Dubai Health Authority, Dubai Legal Affairs Department, Knowledge and Human Development Authority, Dubai Municipality, Real Estate Regulatory Agency, Dubai Land Department, Securities and Commodities Authority, Virtual Assets Regulatory Authority, Central Bank of the UAE, Department of Economy and Tourism, Ministry of Economy, Ministry of Human Resources and Emiratisation, Federal Tax Authority, and any other competent body.

6D.4 Participation Is the Business's Own Decision and Responsibility. By choosing to publish a Listing in a regulated sector, the Business represents and warrants that:

  • (a) it has independently determined that its participation on the Platform does not breach any law, regulation, licence condition, professional rule, or contractual obligation applicable to it;
  • (b) it holds all licences and permits required by UAE law for the activities described in its Listing;
  • (c) its Reward Offer complies with all applicable professional conduct rules, including any restrictions on commission sharing, fee splitting, or referral compensation imposed by its regulator;
  • (d) it has obtained any specific regulatory approvals required for its promotional activities, including permits under Executive Council Resolution No. 1 of 2024 on Trade Promotions in Dubai where applicable;
  • (e) it will not use the Platform in any manner that contravenes the laws, regulations, or ethical codes of its profession or sector.

6D.5 Listi Does Not Verify and Cannot Verify. Listi does not verify, and does not have the legal authority, technical capacity, or regulatory mandate to verify:

  • (a) the authenticity of any trade licence, professional licence, permit, certificate, broker card, registration document, or any other document submitted by a Business;
  • (b) the current validity of any licence, as licences may be suspended, revoked, or expired without Listi's knowledge;
  • (c) whether any licence genuinely authorises the specific activities described in the Listing;
  • (d) whether the Business complies with professional conduct rules, advertising restrictions, commission regulations, or any other sector-specific requirements applicable to it;
  • (e) whether any individual named in a Listing is genuinely employed by, associated with, or authorised to represent the Business;
  • (f) the truth, accuracy, or completeness of any statement made in a Listing, Blog Post, Reward Offer, or InternChat message.

6D.6 Documents Can Be Forged, Altered, or Misrepresented. Listi expressly acknowledges and discloses to all Users, Referrers, and third parties that documents submitted to Listi can be:

  • (a) forged, fabricated, or materially altered;
  • (b) expired, suspended, revoked, or cancelled despite being presented as current;
  • (c) genuine but belonging to a different legal entity or individual;
  • (d) issued by a different jurisdiction but misrepresented as Dubai-issued or UAE-issued;
  • (e) technically valid but insufficient to authorise the specific activities advertised.

No platform operator acting as a directory has the legal authority, investigative powers, or resources available to competent government authorities to detect every instance of such misrepresentation. Listi's document collection at registration serves only to create a declaratory record of what the Business represented. It is not a verification of authenticity or validity.

6D.7 Verification Is the Responsibility of Users, Referrers, and Regulators. Before engaging with any Business listed on the Platform in a regulated sector, Users and Referrers are responsible for conducting their own independent verification, including:

  • (a) verifying RERA licences and broker cards via the Dubai REST app or DLD website;
  • (b) verifying DHA-licensed healthcare providers via the DHA Sheryan system;
  • (c) verifying KHDA-permitted training institutes via the KHDA website;
  • (d) verifying mainland DET trade licences via the DED Trader platform or invest.dubai.ae, and free zone licences or freelancer permits via the relevant issuing authority (DMCC, DIFC, DAFZA, JAFZA, GoFreelance / TECOM, in5, or similar);
  • (e) verifying VARA, SCA, DFSA, and Central Bank licences via each authority's official register;
  • (f) verifying law firms and lawyers via the Dubai Legal Affairs Department;
  • (g) engaging independent legal, financial, or professional advisors where appropriate.

Listi is not a substitute for this verification. No badge, approval, or Listing status on Listi should be treated as proof of a Business's legal authorisation to operate.

6D.8 Competent Authority Enforcement. Enforcement of regulatory compliance, including action against unlicensed operators, fraudulent licence holders, and misrepresentation, is the jurisdiction of the competent UAE authorities and is not the responsibility of Listi. Where Listi becomes aware of conduct that appears to breach regulatory requirements, Listi may, at its sole discretion, remove the Listing and report the conduct to the relevant authority. Listi is under no obligation to investigate regulatory compliance.

6D.9 Full Shift of Legal and Regulatory Liability. Any legal, regulatory, civil, criminal, administrative, professional, or reputational consequence arising from a Business's participation in a regulated sector on the Platform rests entirely and exclusively with the Business. This includes unlicensed practice, fee-splitting violations, consumer harm, malpractice claims, regulatory fines, licence suspension, criminal charges, and civil damages. Listi accepts no liability whatsoever for any such consequence.

6D.10 Users and Referrers Accept This Position. By using the Platform, Users and Referrers acknowledge, understand, and accept that:

  • (a) Listi does not verify regulated sector licences;
  • (b) Listi cannot guarantee the legal standing of any Business;
  • (c) engaging with Businesses in regulated sectors carries inherent risks;
  • (d) Users and Referrers must conduct their own due diligence;
  • (e) Listi is not liable for any harm, loss, or damage suffered as a result of engaging with a Business whose regulated sector credentials turn out to be invalid, fraudulent, or misrepresented.

6D.11 Indemnity Extension. Where a Business participates in a regulated sector without holding the required licences, or through fraudulent or misrepresented documentation, the Business indemnifies Listi under Section 11 for any and all resulting claims, including regulatory action, civil damages, criminal charges, fines, legal costs, and reputational damage. This indemnity is not capped, is not limited by Section 16, and survives termination.

6D.12 Survival and Priority. This Section 6D survives termination of the account and applies to conduct discovered at any time, whether during or after the Business's presence on the Platform. In the event of any conflict, this Section 6D prevails over any general provision of these Terms but is complemented, not overridden, by the sector-specific Sections 6A, 6B, and 6C.

6E. Complaint Response and Takedown Procedure

6E.1 How to Report. Users, Referrers, third parties, and regulators may report concerns about any Listing by contacting hi@listi.ae with:

  • (a) the name of the Business and URL of the Listing;
  • (b) the specific concern, such as fraud, unlicensed activity, or misrepresentation;
  • (c) any supporting evidence.

6E.2 Listi's Response Process. Upon receipt of a credible complaint, Listi will:

  • (a) review the Listing within five (5) working days;
  • (b) where the complaint appears credible, suspend the Listing pending the Business's response;
  • (c) request proof of licensing or other documentation from the Business under Section 6A, 6B, or 6C as applicable;
  • (d) permanently remove the Listing if the Business fails to respond or provides insufficient evidence;
  • (e) report the matter to the relevant competent authority where warranted.

6E.3 Record Keeping. Listi maintains internal records of all complaints received and actions taken. These records are available to competent authorities upon lawful request.

6E.4 Scope of Action. Listi's action on a complaint does not constitute verification of any Business's compliance. Listi acts only on the specific complaint raised.

7. InternChat and T&C Acceptance

7.1 InternChat is the Platform's in-built messaging feature allowing registered Users and Referrers to contact your Business directly through your Listing.

7.2 InternChat is only accessible to Users and Referrers who have accepted the Listi User and Referrer Terms and Conditions in full at registration.

7.3 Free Plan Businesses may receive up to 20 InternChat messages per month. Paid Plan Businesses may receive and respond to unlimited InternChat messages.

7.4 You must not use InternChat to send unsolicited commercial messages, collect personal data, or engage in any conduct prohibited by Section 13.

8. Plans and Pricing

8.1 Listing Tiers. The Platform offers three listing tiers for Businesses and Freelancers: Free Plan (AED 0), Flexi Plan (AED 249 / month), and Growth Plan (AED 999 / month). The authoritative source of current plan names, pricing, promotional offers, and feature sets is the pricing page at listi.ae/for-business#pricing. The price presented on that page and on the checkout screen at the moment you subscribe is the price that governs your subscription.

8.2 Blog Post publishing limit. Growth Plan subscribers may publish a maximum of one (1) Blog Post per day. The weekly free Blog Post allowance does not carry over if unused.

8.3 Plan features and pricing are subject to change. Listi will provide at least 14 days' written notice to paid subscribers before any material change to plan features or to the price of their current plan takes effect. Any such change will be reflected on the pricing page described in Section 8.1 before taking effect.

8.4 All prices are stated in UAE Dirhams (AED) and are inclusive of any applicable VAT where required under Federal Decree-Law No. 8 of 2017. Promotional prices (for example a discounted introductory monthly price) apply only for the period stated on the pricing page at the time of subscription; after that period, the standard price for the relevant plan applies.

8.5 Gallery. The Gallery feature allows Flexi Plan and Growth Plan Businesses to display a collection of images on their Listing page, subject to the media and copyright requirements in Section 5.4.

8.6 Top Picks placement. Growth Plan Listings are displayed in the Top Picks section at the front of the browse page and at the top of their relevant category, ahead of all other Listings.

8.7 No guaranteed visibility. Listi does not guarantee any specific number of views, clicks, InternChat messages, or referral introductions for any Listing on any plan.

8.8 Consistency and Consumer Protection. In the event of any inconsistency between the pricing page at listi.ae/for-business#pricing, the Business Dashboard checkout screen, and these Terms, the price actually charged shall be the price displayed on the checkout screen at the moment the subscription is confirmed, in accordance with Article 5 of Federal Law No. 15 of 2020 on Consumer Protection. Businesses who believe they have been charged a price inconsistent with the price advertised to them at subscription may raise a consumer complaint at hi@listi.ae and Listi will investigate and, where the complaint is substantiated, refund any overcharge.

9. Billing

9.1 Monthly billing only. All subscription plans are currently available on a monthly billing cycle only, charged on the date of your first subscription payment.

9.2 Currency. All subscription fees are charged exclusively in UAE Dirhams (AED).

9.3 Payment is processed via Stripe. By subscribing to a paid plan, you authorise recurring monthly charges to your nominated payment method.

9.4 Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.

9.5 You may cancel your subscription at any time through your Dashboard. Cancellation takes effect at the end of the current billing period.

9.6 Refunds. Subscription fees are governed by Listi's standalone Refund Policy, which sets out the applicable refund window, eligibility, and exclusions. Except as expressly provided in the Refund Policy, all subscription fees are non-refundable and no pro-rata refund is given for any unused portion of a billing period. In the event of any conflict between these Terms and the Refund Policy on refund matters, the Refund Policy prevails.

9.7 If a payment fails, Listi may suspend access to paid plan features until the outstanding amount is settled. Listi will attempt to notify you by email before suspension.

9.8 Any price change to any plan will be notified to you by email at least 14 days in advance.

9.9 Listi does not store your full card details. Payment processing and card data storage are handled by Stripe.

9A. Payment Methods

9A.1 Primary payment method — Stripe. Because the Platform operates on a subscription-based model, all recurring subscription payments must be made by credit or debit card through Stripe. Card payments are processed securely and charged automatically each billing cycle, ensuring your Listing remains active without payment delays.

9A.2 Bank transfer — exceptional cases only, by prior request. Bank transfer is not a standard payment option and is not available for routine subscription billing. In exceptional circumstances, and at Listi's sole discretion, a bank transfer may be accepted for an initial or one-off payment where the business profile and transaction context make it appropriate. To request a bank transfer, you must:

  • send a request by email to hi@listi.ae before making any transfer;
  • wait to receive Listi's bank details by return email — do not transfer funds until you have received official bank details confirmed in writing by Listi; and
  • complete the bank transfer within 24 hours of receiving the bank details.

9A.3 Listi will assess each bank transfer request individually and is not obligated to approve any such request.

9A.4 Once a bank transfer is completed, you must submit your transaction confirmation or payment receipt through your Dashboard or by email to hi@listi.ae.

9A.5 Your Listing will not be activated or published until the bank transfer has been verified by Listi.

9A.6 Warning. Listi will never provide bank details through any channel other than an official email from hi@listi.ae. Do not make any payment to bank details received from any other source. Listi accepts no liability for payments made to incorrect accounts where the bank details were not received directly from hi@listi.ae by email.

10. Business Obligations

10.1 You must act honestly, professionally, and in good faith in all interactions on and through the Platform, including all InternChat communications.

10.2 You must ensure that your Listing accurately reflects the services you are legally authorised and operationally able to provide.

10.3 You must not use the Platform to solicit personal data, financial information, or payment from Users or Referrers in a manner that is deceptive, coercive, or unlawful.

10.4 You must respond to InternChat messages professionally and in a timely manner.

10.5 You are solely responsible for complying with all applicable UAE laws in connection with your business operations and use of the Platform.

10.6 You must not include Listi or Listi Partners Portal in any Arrangement, agreement, or representation made to a Referrer or referred customer. Listi is not a party to any Arrangement.

10.7 No Unauthorised Use of Platform Data. You may not share, export, copy, or use any User or Referrer contact details, profile data, or other information obtained through the Platform for any purpose outside your permitted activity. Any external commercial use of Platform data without Listi's prior written authorisation is strictly prohibited.

10.8 Any breach of clause 10.7 may result in immediate account suspension or permanent ban without notice and without refund.

10A. Platform Reputation, Social Media, and Reviews

10A.1 You must not negatively portray, misrepresent, criticise, or damage the reputation of Listi Partners Portal through any channel or medium, including posting negative content on social media platforms, websites, review sites, or forums; making negative verbal statements at any event; sharing or amplifying negative content created by any other person; or submitting false or misleading reviews about Listi on any platform.

10A.2 Resolve first, post later. If you have a complaint or concern, you must contact Listi directly at hi@listi.ae and allow Listi a reasonable opportunity to respond before making any public statement.

10A.3 Legal consequences. Any statement, post, review, or content that is false, misleading, or damaging to Listi's business reputation, published without Listi's prior written permission, will be treated as a serious breach of these Terms. Listi reserves the right to take legal action under applicable UAE law, including Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes.

10B. Professional Conduct and Zero Tolerance for Abusive Communication

10B.1 All communication on the Platform must be conducted with professionalism, respect, and courtesy at all times.

10B.2 The following are expressly prohibited in all Platform communications: (a) abusive, insulting, or degrading language; (b) threatening or intimidating language; (c) discriminatory language on any basis; (d) language designed to cause emotional distress or psychological harm; or (e) any inhumane, vulgar, or offensive language of any kind.

10B.3 If a matter cannot be resolved through professional communication, contact Listi at hi@listi.ae.

10B.4 Consequences of violation. Listi reserves the right to issue a formal warning, temporarily suspend, permanently block, or permanently remove the Listing from the Platform without prior notice.

10B.5 No refund will be issued where an account is suspended, blocked, or a Listing removed as a result of a breach of this clause.

10B.6 Where a serious complaint is raised, Listi reserves the right to conduct a full review of the account, Listing content, InternChat history, and Blog Posts. The account holder consents to this review by accepting these Terms.

10C. Prohibition on Negative Portrayal of Listi

10C.1 Writing, posting, sharing, or broadcasting negative or damaging content about Listi is considered an act that affects Listi's business. Listi will take legal action against any person who does so in breach of these Terms.

10C.2 Listi reserves the right to take legal action against any Business, Freelancer, User, or Referrer who negatively portrays Listi in breach of this clause, including claims for damages and injunctive relief.

10C.3 If you have a genuine complaint, contact Listi directly at hi@listi.ae before taking any complaint to a public platform.

11. Indemnity (Your Responsibility to Protect Listi)

11.1 You agree to indemnify, defend, and hold harmless Listi Partners Portal, its owner, employees, agents, and affiliates from and against any and all claims, complaints, lawsuits, losses, damages, liabilities, costs, legal fees, court expenses, and settlements arising out of or in connection with:

  • your Listing or any content you submit to the Platform;
  • any services, products, or Reward Offers you offer or provide to a Referrer or referred customer;
  • any harm, loss, or damage suffered by a Referrer, referred customer, User, or any third party arising as a result of your actions or omissions;
  • any breach of these Terms including providing false, misleading, or unlicensed content, or violating any applicable UAE law; or
  • any infringement by you of any third-party rights, including intellectual property rights, media rights, and privacy rights.

11.2 Where a claim or legal proceeding is brought against Listi arising from your actions or omissions, you shall be responsible for covering Listi's costs and shall cooperate fully in the defence of such proceedings.

11.3 You must pay for all related losses, damages, legal fees, court costs, settlements, and expenses that Listi suffers as a result of your actions.

11.4 You agree to fully cooperate with Listi in defending any such claim.

11.5 Listi reserves the right, at its own expense, to assume exclusive control of the defence of any matter subject to indemnification by you.

11.6 This indemnity obligation survives the termination, expiry, or closure of your account and these Terms.

12. Dashboard and Analytics

12.1 Your Dashboard is your account area displaying your Listing content, InternChat, accessible User network, plan status, and account settings.

12.2 T&C-Accepted User Network. Your Dashboard shows all Users and Referrers who have accepted the Listi User and Referrer Terms and Conditions. These are the Users you may contact via InternChat.

12.3 Free Plan accounts do not have access to analytics.

12.4 Paid Plan Analytics. Paid plan accounts have access to full analytics including total Listing views and impressions, clicks on LinkedIn, WhatsApp, and website links, clicks on Terms and Conditions or Reward Offer section, clicks on Blog Posts, and InternChat message volume and activity history.

12.5 All analytics and activity data is indicative only. Listi does not guarantee its accuracy or completeness.

12A. Dashboard — Account and Subscription Management

12A.1 Your Dashboard provides the following account and subscription management options:

  • Invoices — downloadable invoices for all subscription payments made through your account.
  • Subscription status — your current plan, billing cycle, next renewal date, and payment status.
  • Edit your Listing — update Listing content, contact details, Reward Offer, images, video URL, tags, and other elements. Certain material changes may be subject to re-review before the updated content is published.
  • Pause your Listing — temporarily pause your Listing so it is not visible to Users and Referrers during the pause period.
  • Hide your Listing — hide your Listing from Users and Referrers at any time.
  • Cancel your subscription — cancel your paid subscription at any time. Cancellation takes effect at the end of the current billing period.

12A.2 Hiding or pausing your Listing does not affect your subscription. Your billing cycle continues and subscription fees will be charged as normal. No refund, credit, or fee reduction will be applied for any period during which your Listing is hidden or paused.

12A.3 Your Dashboard remains accessible at all times regardless of whether your Listing is live, hidden, or paused.

13. Acceptable Use

13.1 You must use the Platform only for lawful purposes and in a manner consistent with these Terms.

13.2 You must not:

  • submit any Listing content that is false, misleading, defamatory, discriminatory, offensive, or unlawful;
  • impersonate any person or entity or misrepresent your business identity, licence status, or regulatory standing;
  • use the Platform to collect, harvest, or compile personal data about Users or Referrers without their explicit consent;
  • use automated tools, bots, scrapers, or scripts to access, extract, or copy data from the Platform;
  • attempt to gain unauthorised access to any part of the Platform, its servers, or any connected systems;
  • upload or transmit any malicious code, virus, or harmful software;
  • use the Platform in any way that violates Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes or any other applicable UAE law;
  • use the Platform to harass, threaten, or harm any User, Referrer, or other person;
  • list services or products for which you do not hold the required UAE licence or regulatory authorisation;
  • publish a Reward Offer for which you do not hold any required UAE permit;
  • upload copyrighted images, logos, or media without the rights holder's permission; or
  • share, sell, or distribute any User or Referrer data obtained through the Platform to any third party without Listi's prior written authorisation.

13.3 Listi reserves the right to remove any Listing content that violates this clause without notice. Violations may result in immediate suspension or permanent ban without refund.

13A. Prohibited Business Categories

13A.1 The following activities are expressly prohibited on the Platform. You must not register, list, publish a Reward Offer, or use InternChat in connection with any of the following:

13A.1.1 Multi-level marketing (MLM), pyramid schemes, network marketing, or any business model where participant earnings are materially derived from recruiting further participants rather than from genuine retail sale of goods or services.

13A.1.2 Gambling, betting, wagering, lotteries, sports books, casino-style games, or any game of chance for money or money's worth. Gambling is a criminal offence under Federal Decree-Law No. 31 of 2021 on the Issuance of the Crimes and Penalties Law (Penal Code).

13A.1.3 Adult content, escort services, dating intended for sexual contact, or any sexually explicit goods or services.

13A.1.4 Weapons, firearms, ammunition, explosives, military equipment, tactical gear for unlawful use, or related trading.

13A.1.5 Pharmaceuticals, prescription-only medicines, controlled substances, or any medicine marketed to the public other than by a Ministry of Health and Prevention (MoHAP) or DHA-authorised pharmacy for its permitted activities.

13A.1.6 Cannabis, CBD products, narcotic substances, psychoactive substances, or any product restricted under UAE narcotics legislation, regardless of legality in any other jurisdiction.

13A.1.7 Cryptocurrency mining services, mining hardware sales marketed to retail, cloud-mining contracts, or any Ponzi-style yield product labelled as "mining".

13A.1.8 Tobacco products, shisha products, electronic cigarettes, vaping devices, e-liquids, and all related accessories and consumables.

13A.1.9 Unlicensed investment advice, unlicensed financial signals or "forex signals" groups, unlicensed trading mentorship offered as regulated investment advice, "guaranteed return" investment programmes, or any activity that would require SCA, CBUAE, VARA, or DFSA authorisation but is conducted without it.

13A.1.10 Peer-to-peer used-vehicle sales by unlicensed individuals or any automotive sale activity that does not hold the RTA/DET licensing required for commercial vehicle sale in Dubai.

13A.1.11 Hawala, informal value transfer, unlicensed money remittance, or any payment / transfer activity that would require a Central Bank of the UAE Retail Payment Services, Exchange House, or Stored Value Facility licence but is conducted without one.

13A.1.12 Any activity whose lawful operation would require Listi itself to hold a regulated intermediary, escrow, payment, broker, financial institution, or similar licence. Listi operates only as an E-Trader Portal (DET Licence No. 1523229) and does not and will not act as a regulated intermediary for any transaction.

13A.2 14-Day Change Notice. Listi may amend, expand, or clarify this Section 13A at any time by giving 14 days' notice by email and on the Platform. Continued use of the Platform after the effective date constitutes acceptance of the amended list.

13A.3 Disguised Categorisation is Fraud. Attempting to list a prohibited activity under a permitted category (for example, listing an MLM business as "consulting", a "forex signals" group as "education", or an unlicensed money-transfer operator as "financial services") is a fraudulent misrepresentation of business activity and is treated as conduct within Section 5J (Document Accuracy, Fraud, and Legal Consequences) and, where the activity falls within a Section 6A sector, within Section 6A.11 and 6A.12 (zero-tolerance legal action and regulator reporting).

14. Intellectual Property

14.1 All intellectual property rights in the Platform, including its design, software, text, graphics, logos, and features, are owned by or licensed to Listi Partners Portal.

14.2 Nothing in these Terms grants you any right, title, or interest in the Platform's intellectual property.

14.3 You may not copy, reproduce, modify, distribute, or create derivative works from any part of the Platform without prior written consent from Listi.

14.4 The content licence you grant to Listi is set out in Section 5.7 above.

14.5 You confirm that you own or have all necessary rights to any content, images, or materials submitted to the Platform.

14.6 Listi retains all rights in its own intellectual property. No rights are transferred to you by implication, estoppel, or otherwise.

14.7 Injunctive Relief. Listi may seek injunctive relief in any competent court to prevent actual or threatened infringement of its intellectual property, including unauthorised copying of Platform content, designs, source code, brand assets, or database structure, in addition to any damages or other remedies available at law or in equity. This right is cumulative and is without prejudice to any claim for monetary damages.

15. Suspension and Termination

15.1 Listi may suspend or terminate your account and Listing at any time, with or without notice, if:

  • you breach any provision of these Terms;
  • we reasonably suspect fraudulent, misleading, or unlawful activity associated with your account or Listing;
  • a complaint is made against your Business that we consider credible and serious;
  • your Business licence or regulatory authorisation lapses, is suspended, or is revoked;
  • we are required to do so by law or by order of a competent authority; or
  • we decide to discontinue the Platform or a part of it.

15.2 You may close your account at any time by contacting hi@listi.ae, or from Profile → Data & Privacy → Delete Account inside the Platform.

15.2a Cancel Paid Subscriptions Before Deleting. If your Business has an active paid subscription (Flexi Plan, Growth Plan, or any other paid Listing plan offered from time to time), you must cancel the subscription from your billing page (Business → Plans) before deleting your account. Deleting your Listi account does not automatically cancel your Stripe subscription, and your Business may continue to be charged until the subscription itself is cancelled. Listi is not liable for any charges that continue to accrue on an uncancelled subscription after account deletion.

15.3 On termination, your Listing will be removed from the Platform and all associated features will cease. Clauses that by their nature survive termination including clauses 11, 16, and 20 will continue to apply.

15.4 Dormant and Inactive Accounts. Listi may suspend or permanently close any account that remains inactive for a continuous period of 12 months or more. Where practicable, Listi will attempt to provide reasonable advance notice by email.

16. Limitation of Liability

16.1 To the maximum extent permitted by applicable UAE law, Listi is not liable for:

  • any indirect, special, incidental, or consequential loss or damage arising from your use of the Platform;
  • any loss of profit, revenue, business opportunity, or goodwill;
  • any loss arising from your reliance on Platform analytics, activity data, or Listing performance information;
  • any failure, delay, or interruption in Platform availability;
  • any loss arising from a Referrer failing to make an introduction or from an introduction failing to result in a transaction;
  • any loss arising from your failure to obtain a required permit for your Reward Offer;
  • any unauthorised access to your account arising from your failure to maintain account security;
  • any dispute between you and a Referrer or referred customer; or
  • any regulatory action taken against your Business arising from your Listing content or business operations.

16.2 Listi's total aggregate liability to you shall not exceed the total amount paid by you to Listi in the 12 months preceding the event giving rise to the claim, or AED 500, whichever is greater.

16.3 Nothing in these Terms limits or excludes liability that cannot be excluded under mandatory applicable UAE law.

16.4 Listi is not liable for any losses arising from a third-party data breach, cyberattack, or security incident affecting Listi's infrastructure providers (including but not limited to Supabase, Vercel, Stripe, AWS, or Cloudflare), except to the extent caused by Listi's gross negligence or wilful misconduct.

17. Consumer Protection

17.1 These Terms are governed in part by Federal Law No. 15 of 2020 on Consumer Protection.

17.2 As a Business or Freelancer, you are independently responsible for ensuring that your services, marketing, Reward Offers, and interactions with customers comply with UAE consumer protection law. Listi accepts no liability for any consumer protection complaint arising from your conduct.

18. Electronic Transactions

18.1 These Terms constitute a valid and binding electronic agreement under Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services.

18.2 By ticking the acceptance box or completing registration, you confirm that you have read, understood, and agree to be bound by these Terms. Electronic acceptance has the same legal effect as a signed written agreement.

18.3 Listi may send notices and communications to you by email at your registered address. Such communications are deemed received on the day they are sent, provided no delivery failure notification is received.

19. Changes to These Terms

19.1 Listi reserves the right to update or amend these Terms at any time.

19.2 Where a change is material, Listi will notify you by email at least 14 days before the change takes effect.

19.3 Your continued use of the Platform after the effective date of any update constitutes your acceptance of the revised Terms.

19.4 If you do not accept the revised Terms, you must stop using the Platform and may close your account by contacting hi@listi.ae.

19A. Technology Infrastructure, Data Storage, and Security

19A.1 The Platform is built and operated using the following third-party technology providers:

  • Database and backend — Supabase. Listi uses Supabase (Supabase Pte. Ltd., Singapore) as its cloud database and backend infrastructure provider. Supabase servers are located in Mumbai, India. A Data Processing Agreement (DPA) is in place between Listi and Supabase. As part of its own service delivery, Supabase uses authorised sub-processors including Amazon Web Services, Cloudflare, and OpenAI LLC. A full sub-processor list is available at supabase.com. Note on OpenAI: Listi does not independently share your data with OpenAI. OpenAI is an upstream sub-processor of Supabase only.
  • Payment processing — Stripe. All subscription payments are processed by Stripe, Inc. (United States) in AED. Listi does not store your full card details. Stripe is PCI-DSS compliant.
  • Platform deployment — Vercel. The Platform is deployed and hosted via Vercel, Inc. (United States).

19A.2 Listi takes reasonable technical and organisational measures to protect your account data and Listing content from unauthorised access, loss, or misuse.

19A.3 In the event of a material security incident, Listi will take immediate steps to contain and investigate the incident, make every reasonable effort to recover and restore affected data, and notify affected account holders within 72 hours of confirming the incident or as otherwise required by the UAE PDPL (Federal Decree-Law No. 45 of 2021), whichever is sooner. Where the full facts of the incident are not yet known at the time of notification, Listi will issue an initial notice and follow up with further information as it becomes available.

19A.4 No internet-based platform can guarantee absolute protection against all forms of cyberattack or technical failure. Listi's liability in the event of a security incident is limited as set out in Section 16.

19A.5 Listi may change its technology infrastructure providers from time to time. Where such a change affects the location of data storage or the handling of personal data in a material way, Listi will notify affected users in advance.

19A.6 Data Controller Roles. For the purposes of the UAE PDPL (Federal Decree-Law No. 45 of 2021), Listi acts as the data controller for Personal Data collected through the Platform in connection with account registration, Listing management, Platform administration, and security. Where a Business receives Personal Data of a User or Referrer through InternChat, a referral submission, or any other Platform feature (for example, a customer's name, phone number, or email shared as part of an introduction), the Business acts as an independent or joint controller (as the context requires) in respect of that data from the point of receipt. Each Business is independently responsible for complying with the UAE PDPL — including obtaining any further lawful basis, providing notices, honouring data subject requests, and implementing appropriate security measures — in relation to its own processing of that data.

19B. Platform Downtime, Technical Issues, and Service Interruptions

19B.1 The Platform may at times be unavailable or experience reduced functionality due to software errors, server crashes, network outages, cyberattacks, infrastructure failures affecting Listi's third-party providers, or any other technical issue beyond Listi's immediate control.

19B.2 Listi will make every reasonable effort to identify the cause and restore normal Platform functionality as quickly as possible.

19B.3 Where a technical issue materially affects Platform availability, Listi will make reasonable efforts to inform registered Businesses by email and, where possible, by a notice posted on the Platform.

19B.4 No refunds for downtime. Subscription fees and Blog Post fees are non-refundable in the event of any Platform downtime, technical issue, service interruption, or reduced functionality, regardless of cause or duration.

20. Governing Law and Disputes

20.1 These Terms are governed by and construed in accordance with the federal laws of the United Arab Emirates and the laws of the Emirate of Dubai. The onshore courts of the Emirate of Dubai shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, the Platform, or any Listing. The parties expressly exclude the jurisdiction of the Dubai International Financial Centre (DIFC) Courts, the Abu Dhabi Global Market (ADGM) Courts, and the courts of any other emirate or foreign jurisdiction.

20.2 Any dispute shall first be referred to good faith negotiation. If not resolved within 30 days of written notice, either party may refer the matter to the competent courts of Dubai.

20.3 Nothing in this clause prevents Listi from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.

20.4 Individual Disputes Only — No Class Actions. To the fullest extent permitted by applicable law, you waive any right to bring or participate in a class action, collective action, or group litigation against Listi. All disputes shall be resolved on an individual basis only.

20A. Referrer LinkedIn Profiles (Optional Verification Feature)

20A.1 What this feature is. Referrers on the Platform may optionally submit their public LinkedIn profile URL for review by Listi. When Listi has approved the URL and the Referrer has (a) accepted the sharing terms and (b) enabled public visibility, a "LinkedIn Verified" badge and clickable link may be displayed to your Business alongside the Referrer's profile or on Listings where their involvement is shown.

20A.2 What the badge means. The badge indicates only that Listi has confirmed the submitted URL appears to be a genuine, accessible LinkedIn profile page. It is not a background check, identity verification, employment verification, or endorsement of the Referrer. Listi makes no representation about the accuracy, completeness, or current validity of any information displayed on the Referrer's LinkedIn profile.

20A.3 How you may use it. You may click the badge to view the Referrer's public LinkedIn profile on LinkedIn for the purpose of evaluating whether to engage with that Referrer. You may use information publicly published by the Referrer on LinkedIn to inform your own decision-making. You remain fully responsible for your own due diligence before agreeing to any introduction, referral arrangement, or commercial engagement.

20A.4 Restrictions. You shall not:

  • scrape, harvest, or bulk-extract data from Referrer LinkedIn profiles accessed via the Platform;
  • republish, resell, or share Referrer LinkedIn URLs outside of Listi's intended flow;
  • use the badge or LinkedIn link to harass, spam, or contact Referrers through LinkedIn for purposes other than legitimate Platform use;
  • rely on the presence of a badge as a substitute for your own verification, regulatory, or compliance checks.

20A.5 No Listi liability for third-party content. LinkedIn profiles are hosted and controlled by LinkedIn and by the Referrer. Listi does not copy, store, or moderate the content of a Referrer's LinkedIn profile. Listi is not liable for any content appearing on LinkedIn, any changes made to a Referrer's LinkedIn profile after approval, or any availability issues on LinkedIn itself.

20A.6 Removal by Referrer. Referrers may withdraw consent and remove their LinkedIn URL or disable visibility at any time. Once withdrawn, the badge will stop being displayed on newly served pages. You agree that cached or previously viewed content may persist briefly and that this is outside Listi's control.

20A.7 Removal by Listi. Listi may remove, reject, or unapprove a Referrer's LinkedIn URL at its sole discretion, including where the URL is no longer valid, where it breaches these Terms, or where Listi receives a credible complaint.

21. General

21.1 Entire Agreement. These Terms, together with our Privacy Policy and Data Statement, constitute the entire agreement between you and Listi in relation to your use of the Platform as a Business or Freelancer.

21.2 Severability. If any provision is found invalid or unenforceable, it will be modified to the minimum extent necessary and remaining provisions continue in full force.

21.3 Waiver. A failure or delay by Listi to exercise any right does not constitute a waiver of that right.

21.4 No Assignment. You may not assign your rights or obligations under these Terms to any other person or entity without Listi's prior written consent.

21.5 Language. These Terms are currently available in English only. An official Arabic version will be made available in due course. Once published, the Arabic version will prevail for all matters governed by UAE consumer protection law, UAE data protection law, or any other mandatory applicable UAE law. For all other purposes, the English version shall govern.

21.6 Contact. For general enquiries: hi@listi.ae. For data protection enquiries: privacy@listi.ae.

21.7 Force Majeure. Listi shall not be liable for any delay or failure caused by a Force Majeure Event, meaning any event beyond Listi's reasonable control including internet outages, cyberattacks, government orders, natural disasters, pandemics, war, civil unrest, terrorism, or strikes. Listi will make reasonable efforts to restore normal service and notify users where practicable.

21.8 Third-Party Infrastructure Incidents. Without limiting clause 16.4 or clause 21.7, Listi shall not be liable for any losses arising from service interruptions, data breaches, or security incidents affecting Listi's third-party infrastructure providers (including but not limited to Supabase, Vercel, Stripe, Amazon Web Services, and Cloudflare), except to the extent such losses are directly caused by Listi's gross negligence or wilful misconduct.

Acceptance of Terms

By registering and/or continuing to use the Listi Platform and its services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions, our Privacy Policy, and any other policies referenced herein.
